Expiration: Agreement expires if not signed by 10/30/09 Nonapuropriation: ZOLL acknowledges [hat Customer is a governmental entity, and the contract validity is based upon the availability of public funding under the authority of its statutory mandate. hr the event that public Cunds are unavailable and not appropriated for the performance of Customer's obligations ^nder this contract, then this contract shall automatically expire without penalty to Customer thirty (30) days after written notice to ZOLL of the unavailability and non-appropriation of public fiords. It is expressly agreed that Customer shall not activate this nmr-appropriatiot provision for its convenience or to circonrvent the requirements of this contract, bat only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in the Customer's statutory authority, mandate and mandated fnnetions, by state and federal legislative or regulatory action, which adversely affects Customer's authority to continue its obligations under this contract, then this contract shall automatically temlinate without penalty to Customer upon mitten notice to ZOLL of such limitation or change in Customer's IegaFanNt rity.
