Revised 01/24 <br /> <br />NORTH CAROLINA <br />CONTRACT AMENDMENT <br />ORANGE COUNTY AND REINSTATEMNT <br /> <br /> <br />THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this _15th__ day of _____June_______, <br />2026_ by and between ORANGE COUNTY (hereinafter referred to as “County”) and Rubicon Global, LLC, as <br />reassigned to Wastech Corp., a wholly owned subsidiary of Routeware, Inc., upon its acquisition of Rubicon in August <br />2024 (hereinafter referred to as “Provider”). The County and Provider may hereinafter be referred to collectively as the <br />“Parties.” <br /> <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered into a contract dated March 29, 2023 (hereinafter the “Original <br />Agreement”), by which the Provider agrees to provide and the County agreed to pay for Routeware’s Smart City product <br />and services (the “Services”); and <br /> <br />WHEREAS, the Parties wish to amend the Agreement to extend the term period for an additional twelve (12) month; <br /> <br />WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br />conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original Agreement as follows: <br /> <br />1. The parties agree to extend the Term period of Services beginning on July 1, 2026 for a period of twelve (12) <br />months as detailed o Routeware Order Q-20375, Exhibit A. <br /> <br />2. Exhibit ____ to the Original Agreement is amended by adding the following tasks and services to the Services <br />to be provided by the Provider. <br /> <br />3. The parties agree to Compensation for Services shall include all compensation due the Provider from the <br />County for all Services satisfactorily performed pursuant to this Contract Amendment and Reinstatement. The <br />maximum amount payable for Services shall not exceed Thirty-Two Thousand Two Hundred Twenty Six <br />Dollars and Sixteen Cents ($32,226.16). <br /> <br />4. Except for the changes made herein, the Original Agreement shall be reinstated and remain in full force and <br />effect to the extent it is not inconsistent with this Amendment.
