Revised 01/24 <br /> <br />NORTH CAROLINA <br />CONTRACT AMENDMENT <br />ORANGE COUNTY <br /> <br /> <br />THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 11th day of May 2026 by and <br />between ORANGE COUNTY (hereinafter referred to as “County”) and Danielle Barbour Wilson, The Banks Law Firm <br />(hereinafter referred to as “Provider”). <br /> <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered a contract dated February 16, 2026, (hereinafter the “Original <br />Agreement”), for the provision of services for: Conduct a thorough and independent investigation of workplace complaints <br />made by health department employees. This investigation is to determine the validity of the complaints made as to <br />unacceptable personal misconduct or any violation of discriminatory practices. Further to support and sustain public health <br />staff, such as creating or strengthening workplace wellbeing and resilience programs and creating or expanding workforce <br />engagement and strengthening public health workforce planning, systems, processes, and policies, such as maintaining and <br />upgrading human resources systems, creating or improving workforce data collection, and creating or revising policies to <br />facilitate workforce development and management.; and <br /> <br />WHEREAS the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br />conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original Agreement as follows: <br /> <br />1. To ensure the completion of the Services identified in the term of the Original Agreement is amended to <br />reflect an end date by which all Services shall be completed of JUNE 1, 2026. <br /> <br />2. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent <br />it is not inconsistent with this Amendment.
