Revised 01/24 <br /> <br />NORTH CAROLINA <br />MEMORANDUM OF <br />UNDERSTANDING AMENDMENT <br />ORANGE COUNTY <br /> <br /> <br />THIS MEMORANDUM OF UNDERSTANDINGAMENDMENT (“MOU Amendment”) is made and entered into this <br />24th day of April, 2026 by and between ORANGE COUNTY (hereinafter referred to as “County”) and the Town of <br />Hillsborough (hereinafter referred to as “Town”). <br /> <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Town entered into a Memorandum of Understanding (MOU) dated November 22, <br />2025, (hereinafter the “Original MOU”), for the provision of services for Solar Feasibility Study; and <br /> <br />WHEREAS, the County and Town desire to amend the Original MOU while keeping in effect all terms and conditions of <br />the Original MOU not inconsistent with the terms and conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original MOU as follows: <br /> <br />1. Attachment “A” to the Original Agreement is amended by adding the following tasks and services to the <br />Services to be provided: For Adron Thompson Water Treatment Plan, the Town would like to access rooftop <br />solar for (2) buildings instead of assessing solar for ground-mounted opportunities. For the Wastewater <br />Treatment Plant, the Town would like to assess rooftop solar for (2) roof -top solar for (2) buildings instead of <br />assessing ground-mounted opportunities. <br /> <br />2. Article IV, Section 7 is amended to reflect a maximum payable not-to-exceed amount of Thirty-Six <br />Thousand, Two Hundred Seventy-One Dollars ($36,271.00). <br /> <br />3. Except for the changes made herein, the Original MOU shall remain in full force and effect to the extent it is <br />not inconsistent with this Amendment.
