9 <br />6. Chapel Hill shall indemnify, save and hold harmless Orange County and its <br />officers, agents and employees from any and all losses, liabilities, judgements, <br />damages, and all costs, fees (including attorneys fees), and expenses related <br />thereto, arising directly or indirectly out of in any way connected with the <br />provision of assistance to Orange County hereunder, except when the liability, <br />loss, judgment or damage results solely from the willful acts or omissions of <br />Orange County or its officers, agents, or employees. <br />7.
