Opinion of Applicant's Attorney <br />for the County of Orange, North Carolina <br />SFY 1999 -2000 Section 5311 Program <br />We are counsel for the County of Orange, North Carolina <br />(hereafter the "County ") and are familiar with the attached <br />Certifications and Assurances for the Section 5311 Program that <br />are part of the application by the County to be included in the <br />North Carolina Section 5311 application for Federal Transit <br />Administration Grants (hereafter the "Certifications and <br />Assurances "). Based upon our examination of the Certifications <br />and Assurances and with the understanding that the <br />Certifications and Assurances are being made by the County not <br />as an applicant to the Federal Transit Administration, but as a <br />sub recipient providing assurances to the North Carolina <br />Department of Transportation, and based on information provided <br />to us by County employees whose official responsibilities <br />include those matters addressed by the Certifications and <br />Assurances and based on existing statutes, regulations, rulings <br />and judicial decisions, it is our opinion that: <br />1. The County is a political subdivision of the State of <br />North Carolina. The County is authorized by the constitution and <br />the laws of the State of North Carolina to make and comply with <br />the Certifications and Assurances. <br />
