<br />Between The University of North Carolina <br />School of Dentistry far its <br />Department of Dental Ecology <br />And OCHD and UNC Hospitals <br />Page 2 of 3 <br />5. While the School of Dentistry faculty is on rotation at the Orange County Health <br />Department, professional liability insurance coverage will be provided by the School of Dentistry <br />with coverage of at least $1 million, per incident, $3 million per year. <br />6. This Agreement shall run for a period of one year, from the 1°` day of July 2000 <br />to the 30'~ day of June 2001, and shall be renewable thereafter. <br />7. This Agreement or its renewals may be terminated at any time without penalty by <br />either party provided that written notice of such termination is famished to the other party at least <br />90 days prior to termination. In the event of such termination any payment due shall be praarated <br />to the date of termination <br />8. In compliance with 42 U.S.C. 139Sx (v)(1)(1) and implementing regulations, The <br />School of Dentistry and The Health Department agree, until the expiration of four year after the <br />services aze furnished under this contract, to allow the Secretary of the Department of Health and <br />Human Services and the Comptroller General access to this coact and to the books, documents <br />and records of The School of Dentistry and The Health Department necessary to verify the nature <br />and extent of this contract. The School of Dentistry and The Health Department Earths agree <br />that if any of the duties of this contract are carried out by a subcontractor of The School of <br />Dentistry or The Health Department such subcontract shall contain a clause to the effect that, <br />until the expiration of four years after the services aze furnished under such subcatttract, the <br />Secretary of the Department of Health and Human services and the Comptroller General shall <br />have access to such subcontract and to the books, documents and records of the subcontiractar <br />necessary to verify the nature and extent of the costs of such subcontract. <br />9. The Health Department and The University of North Carolina hereby agree with <br />The School of Dentistry that, in its educational and/or employment practices The Health <br />Department will comply with such non-discrimination laws as may be applicable to it in the <br />performance of this Agreement. <br />10. The Agreement contains the entire understanding of the parties and shall not be <br />3 <br />altered, amended or modified, except by an agreement in writing executed by the duly authorized <br />official of both parties. <br />
