BUSINESS LOAN PROGRAM SL~PORT AGRFEMF.NT <br />THIS SMALL BUSINESS LOAN PROGRAM SUPPORT AGREEMENT is <br />dated as of March , 2000 (the "Support Agreement"), and is between ORANGE <br />COUNTY SMALL BUSINESS LOAN PROGRAM COMPANY, a North Cazolina <br />nonprofit corporation (the "Company"), and ORANGE COUNTY, NORTH <br />CAROLINA, a North Carolina political subdivision (the "County"). <br />WHEREAS: <br />The County has determined that it is appropriate and desirable for the County to <br />stimulate the creation of good jobs for Orange County citizens as well as to stimulate <br />successful business development and expansion in Orange County. To that end, the <br />County has determined to provide for the creation of the Company to serve as a lender to <br />small businesses. The County has also determined to support the Company as provided in <br />this Support Agreement, to enable the Company to borrow funds far re-lending to small <br />businesses in furtherance of the County's policy. <br />NOW, THEREFORE, in consideration of the mutual promises contained in this <br />Support Agreement and for other good and valuable consideration, the parties agree as <br />follows: <br />ARTICLE I <br />COMPANV'C A F NT TO C RRY O iT OAN pR0 AM <br />1.01. To carry out the County's public purposes as described above, upon the <br />terms and conditions set out in this Support Agreement and subject to the limits imposed <br />by this Support Agreement, the Company agrees to carry out the Loan Program pursuant <br />to the Guidelines. <br />1.02. The Company shall use its reasonable discretion in its interpretation of the <br />Guidelines. The Company in its discretion may at any time request further interpretation <br />or clarification of the Guidelines from the County, and the County may at any time <br />amend the Guidelines. <br />1.03, (a) The Company shall notify the County each time the Company <br />determines to make a Program Loan. The notice shall include a copy of the commitment <br />letter sent to the borrower, identifying the borrower and the principal amount of the loan, <br />S <br />
