3 <br />Between The University of North Carolina <br />School of Dentistry for its <br />Department of Dental Ecology <br />And Orange County Health Department <br />And UNC Hospitals <br />4. The person whose services are to be provided pursuant to the Agreement is for all purposes <br />an employee of The School of Dentistry. <br />5. While The School of Dentistry. faculty member is on rotation at The Health Department, <br />professional liability insurance coverage will be provided by The School of Dentistry with <br />coverage of at least $1 million, per incident, $3 million per year. <br />6. This Agreement shall run for a period of one year, from the 1~ day of July 2002 to the 30tH <br />day of June 2003, and may be renewable thereafter. <br />7. This Agreement or its renewals may be terminated at any time without penalty by either <br />party provided that written notice of such termination is furnished to the other party at least <br />90 days prior to termination. In the event of such termination any payment due shall be <br />prorated to the date of termination. <br />8. In compliance with 42 U.S.C. 1395x(v)(1)(1) and implementing regulations, The School of <br />Dentistry and The Health Department agree, until the expiration of four year after the <br />services are furnished under this contract, to allow the Secretary of the Department of Health <br />and Human Services and the Comptroller General access to this contract and to the books <br />documents and records of The School of Dentistry and The Health Department necessary to <br />verify the nature and extent of this contract. The School of Dentistry and The Health <br />Department further agree that if any of the duties of this contract are carried out by a <br />subcontractor of The School of Dentistry or the Health Department such subcontract shall <br />contain a clause to the effect that, until the expiration of four years after the services are <br />furnished under such subcontract, the Secretary of the Department of Health and Human <br />Services and the Comptroller general shall have access to such subcontract and to the books, <br />documents and records of the subcontractor necessary to verify the nature and extent of the <br />costs of such subcontract. <br />9. The Health Department agrees with The School of Dentistry that in its educational and/or <br />employment practices The Health Department and The School of Dentistry will comply with <br />such non-discrimination laws as may be applicable to it in the performance of this <br />Agreement. <br />
