12 <br /> X. MISCELLANEOUS <br /> A. This Agreement represents the full and final understanding of the parties with respect <br /> to the subject matter described herein and supersedes any and all prior agreements or <br /> understandings, written or oral, express or implied. This Agreement may be modified <br /> or amended only by a written statement signed by both parties. <br /> B. The laws of the State of North Carolina shall govern the terms and conditions of this <br /> Agreement. Should any dispute arise between the parties concerning any matter <br /> under this Agreement, such disputes shall be submitted to binding arbitration before <br /> the American Arbitration Association, in accordance with applicable rules. <br /> C.
