f <br /> 3 <br /> Orange County <br /> Department on Aging <br /> Vendor Agreement <br /> This Vendor Agreement is entered into this 1 st day of October,2002 between Home Health Solutions, <br /> hereinafter known as the Vendor, and Orange County on behalf of the Department on Aging,hereinafter <br /> known as the Department.The period and duration of the Agreement shall be from October 1,2002 to <br /> June 30,2003. <br /> WITNESSETH: <br /> WHEREAS,the Department desires to engage the Vendor to render certain technical and professional <br /> services,hereinafter described,now therefore the parties hereto mutually agree as follows: <br /> 1) DEPARTMENT AGREES AND MAINTAINS THE RIGHT: <br /> 1. To assist in conducting interviews for potential nurse aides,and to uphold each candidate to the <br /> certified nurse aide job description(see attachment). <br /> 2. To determine eligibility of prospective clients for adult day health services in accordance with <br /> federal and state guidelines. <br /> 3. To amend this agreement as needed at any time to ensure that Orange County is in <br /> compliance with the N.C.Division of Aging Adult Day Center standards,and to provide notice <br /> of such amendments as quickly as practicable to the Vendor. <br /> 4. To employ an on site Nurse supervisor from the UNC School of Nursing to oversee the vendor's <br /> nurses aides in carrying out the clients care plan. <br /> 5. To provide a current copy of the clients care plan to the vendor for coordinated service provision. <br /> 6. To not employ directly a nurse aide of the vendor for the Central Orange Adult Day Health Center. <br /> 2) THE VENDOR HEREBY AGREES: <br /> 1. To provide Nursing Assistants(NA1 or NA2),certified by the N.C.Division of Facility Services, <br /> to provide nursing assistant care for participants enrolled in the Central Orange Adult Day <br /> Health Center. <br /> 2. To have an adequate number of aides hired and available to work in Orange County on the date <br /> this agreement is signed,as recruited and hired. <br /> 3. To provide at least one substitute nurse aide for each aide who will be staff at the center,in <br /> accordance with the N.C. State Standards for adult day centers. <br /> 4. To provide consistent aide assignment over the service period stipulated by the Department. <br /> 5. To provide the services of nurse's aides during the hours of operation of the Central Orange <br /> Adult Day Health Center. <br /> 6. To provide bi-weekly timesheets, signed by the day center's program manager and the aide <br /> which show hours worked and the actual billable hours worked at the center.If timesheets are <br />
