4 <br /> (9) Take such actions as in his or hex judgment are necessary to keep <br /> the Board of Directors adequately informed of the affairs of the <br /> Society, and present to the Board such .policy questions as are <br /> needed to conduct the affairs of the Society. <br /> 8) The Vice President shall: <br /> (1) Perform the duties of the President in the absence or disability of <br /> the President; and <br /> (2) Support the President and perform such duties as are delegated to him <br /> or her by the President. <br /> C) The Secretary shall: <br /> (1) Haveā€¢ custody or control of the corporate seal, bylaws, and general <br /> archives of the Society, including, but not limited to, the minutes <br /> of all meetings of the Society; <br /> (2) Keep a record of the proceedings of all meetings and distribute such <br /> minutes to all Directors for review prior to approval at the next <br /> (monthly) Board meeting; <br /> (3) Give due notice as required by these bylaws of all meetings and <br /> elections of the Society by means of the Society newsletter or other <br /> mailing; and <br /> (4) Preside at the elections of officers of the Society as set out in <br /> these bylaws. <br /> D) The Treasurer shall: <br /> (1) Have charge or custody of the financial record of the Society; <br /> (2) Oversee the financial affairs of the Society, with authority to <br /> delegate responsibilities to others, as appropriate; <br /> (3) Propose investment strategies for the Society; and, <br /> (9). Be banded in an amount, if any, as set by the Board of Directors. <br /> 11in=& VI. OOI Stuns <br /> Section I. The role of committees in the Society shall be to help develop <br /> strategies, recommend policies, and oversee implementation of the Society's <br /> policies. The Society depends on Board Members to provide leadership through <br /> participation on committees and other activities of the Society. <br /> Section 2. In addition to the Nominating Committees described above, theta eha11 <br /> be six standing committees designated ea follows; Shelter, Welfare, Fund- <br /> Raising/membership, Finance, Sanctuary, and Personnel, <br /> Section 3. The President shall be an ex-officio, non-voting member of all <br /> standing committees. The President may designate the Vice President to act in <br /> his or her stead as. an ex officio member of standing committees of the Society. <br />
