- <br /> AM= rv. TBE BOARD of DIRECTORS <br /> Section 1. The Board of Directors shall consist of not more than 15 members who <br /> shall serve without pay and shall, except as hereinafter provided, serve three- <br /> . year terms. The Board of Directors shell be responsible for establishing the <br /> policies•of the Society. <br /> Section 2. The members of the Board of Directors shall be elected in sequence so <br /> that up to-give new members shall be elected each year except as hereinafter <br /> provided. Any member of the Society shall be eligible for election as a <br /> Director, so long as he or she does not have a conflict of interest with the <br /> Society and is not married to, does not live with or is not a relative of <br /> another Board member or a presently employed APS staff parson, but no Director <br /> may serve as a paid employee of the Society. Directors may be re-elected to any <br /> number of terms on the board. Nominations and elections shall be as follower. <br /> Al Annually in April the President shall appoint a Nominating Committee of three <br /> members, at least one of whom shall, at the time of election, not be a member of <br /> the Board of Directors. The Nominating Committees shall choose its own <br /> chairperson and shall nominate at least one candidate for each vacancy expected <br /> to occur on the Board of Directors. The report of the Nominating Committee shall <br /> be submitted in writinq to the Secetary by September 1. The Secretary shall <br /> thereafter by means of the Society's newsletter or other mailing circulate to <br /> the members of the Societyt the names of the nominees for the Board; an outline <br /> of the procedure for nominating a candidate for the Board by petition;- and, <br /> notification of the time and place of the General Meeting. <br /> B) Additional candidates for the Board of Directors may be nominated by <br /> petition, signed by ten or more members of the Society and filed with the <br /> Secretary by November 1. By December l,, a list of all board nominees, including <br /> those nominated by petition, will be posted at the Society office clearly <br /> available to the public along with a notice of the time and place of the general <br /> meeting. <br /> C) The election shall take place at a General Meeting of the Society in December <br /> at the time and place announced by the Secretary to the members of the Society <br /> by means of the newsletter or other mailing. Election to the board shall be by a <br /> simple majority of members present at the General Meeting. <br /> Section 3. Any Board Member absent for more than three meetings of the Board of <br /> Directors, without giving prior notice of the reason for the absence to the <br /> President or other officer, shall be'deemed to have resigned. <br /> Section 4. The Board may remove any Board member for cause, including but not <br /> limited to unsatisfactory attendance at board meetings, by a vote of two-thirds <br /> of the total Board. Section 5. Should a Board member resign, be unable to <br /> complete his or-her term of office, or otherwise cease to be a member of the <br /> Board, the Board of Directors, by majority vote of all remaining Directors, may <br /> fill any vacancy on the board for the unexpired term of such positions. <br /> Section 6. The Board of Directors shall establish the policies of the.Society <br /> that shall be implemented by the officers and the Executive Director as provided <br /> herein. <br />
