E) Have authority to delegate tasks and assignments to all Shelter <br /> and/or Society staff or volunteers, as appropriate; <br /> F) Perform additional duties as assigned by the President in support of <br /> the President, the Board, and the Society; <br /> G) Be bonded in an amount, if any, as set by the Board of Directors. <br /> AUZ=A Vixs. Mzsx'saos <br /> Section 1. There shall be a General Meeting of the members of the Society to <br /> elect Directors, receive the annual report of the President, and transact any <br /> other business at the December meeting of the Board of Directors. Additional <br /> meetings of the members may be called by the President or by vote of a majority <br /> of members of the Board of Directors or by petition of fifteen members of the <br /> Society. The Secretary shall notify members by means of the Society's newsletter <br /> or other mailing of the proposed agenda and the time and place of special <br /> meetings at least fifteen days in advance of the meeting. <br /> Section 2. There shall be a meeting of the Board of Directors monthly, normally <br /> to be held on the second Monday of each month. Special meetings of the Board of <br /> Directors may be callad by the President or by-any three members of the Board on <br /> twenty-four hours notice. Meetings of the board shall be open to the public, <br /> except for those meetings or portions of meetings designated by the President or <br /> any other Board members to be concluded in executive session. Any member of the <br /> Society may speak at public meetings of the Board. The presiding Board Member <br /> may extend the privilege of the floor to non-members. A quorum for meetings of <br /> the Board of Directors shall be two-thirds of the currently elected Board <br /> members. Questions concerning parliamentary procedure at all meetings shall be <br /> determined by reference to Robert's Rules of Order. <br /> ARTZ=A =. PA Ss <br /> These Bylaws may be repealed, altered, or amended as follows: Any proposed <br /> alteration shall first be submitted in writing to the Board of Directors with at <br /> least seven days advance notice prior to a meeting of the Board to consider any <br /> amendments. if there is a quorum at such meeting the changes may be approved by <br /> a two-thirds vote of the Directors present. In addition to adopting or rejecting <br /> proposed changes to the Bylaws, the Board shall designate when any changes shal] <br /> become effective. The membership shall be informed by the regular Society <br /> newsletter or .other mailing, of the changes or a summary of the changes in the <br /> event that they are extensive. A current copy of the Bylaws shall be available <br /> at the Society's offices at the Animal Shelter, 1081 Airport Road, Chapel Hill, <br /> North Carolina. <br />
