Section 4. Each standing committee should have at least three members in <br /> addition to Staff, one of whom should be a Board member. The Board member need <br /> not serve .as chairperson of the committee. The chairperson of the committee may <br /> be selected by the President or by the members of'the committee. Additional <br /> members of standing committees may be appointed by the chairperson Dof each of. <br /> committee, and the chairperson shall promptly inform <br /> such appointments. <br /> Section S: All standing committees shall submit a written report to the <br /> Secretary of the Board of Directors at each monthly Board meeting and such <br /> special or interim reports as the President or Board of Directors may request. <br /> Section 6. AS set out in Article 'V, Section 4 (A) (3) above, the President has <br /> the power to establish and disestablish ad hoc committees and appoint <br /> chairpersons for these committees. <br /> Section 7. Executive Committee: The Executive Committee shall consist of the <br /> President, Vice-President, Secretary, Treasurer and any additional member to <br /> make an uneven number as determined by the Board of Directors at the election <br /> time. The Executive Committee shall have the power to transact all regular <br /> items of business necessary between Board of Directors meetings, and such <br /> special items of business of the Corporation as the. Board of Directors may <br /> authorize during the interim between the meetings of the Board, provided any <br /> action shall not conflict with the policies and express wishes of the Board of <br /> Directors. All matters of major importance, such as adverse public reactions, <br /> and/or matters involving significant expenditures, losses of funds or resources, <br /> or significant personnel issues, shall be referred to the Hoard of Directors on <br /> an immediate basis. . <br /> Awl= VIZ. SO== OPEWXOM <br /> Section 1. The Board of Directors shall employ an Executive, Director to help <br /> the Society pursue. its .purposes as set forth in Article II above. The Executive <br /> Director shall report to the President. The Executive Director shall have a <br /> required performance review on an annual basis with a report to the Board on <br /> deficient performance and follow-up on the Executive Director's performance <br /> changes to clear 'ap the deficiencies. <br /> Section 2. The Executive Director shall: <br /> A) Have the authority and responsibility to implement the policies and <br /> directives of the Board of Directors: <br /> B) Serve as an ex officio, non-voting member of all standing committeee <br /> of the Society and help support the work of all committees of the <br /> Society: <br /> C) Administer the internal and external affairs of the Society, <br /> pursuant to its purposes and consistent with Board policies and <br /> directives; <br /> D) Have overall accountability and responsibility for operation of the <br /> Anim81 Shelter, including employment and periodic performance rsvier <br /> of all staff. <br />
