Section 4. Each standing committee should have at least three members in addition to Staff, one of whom should be a Board member. The Board member need not serve .as chairperson of the committee. The chairperson of the committee may be selected by the President or by the members of'the committee. Additional members of standing committees may be appointed by the chairperson Dof each of. committee, and the chairperson shall promptly inform such appointments. Section S: All standing committees shall submit a written report to the Secretary of the Board of Directors at each monthly Board meeting and such special or interim reports as the President or Board of Directors may request. Section 6. AS set out in Article 'V, Section 4 (A) (3) above, the President has the power to establish and disestablish ad hoc committees and appoint chairpersons for these committees. Section 7. Executive Committee: The Executive Committee shall consist of the President, Vice-President, Secretary, Treasurer and any additional member to make an uneven number as determined by the Board of Directors at the election time. The Executive Committee shall have the power to transact all regular items of business necessary between Board of Directors meetings, and such special items of business of the Corporation as the. Board of Directors may authorize during the interim between the meetings of the Board, provided any action shall not conflict with the policies and express wishes of the Board of Directors. All matters of major importance, such as adverse public reactions, and/or matters involving significant expenditures, losses of funds or resources, or significant personnel issues, shall be referred to the Hoard of Directors on an immediate basis. . Awl= VIZ. SO== OPEWXOM Section 1. The Board of Directors shall employ an Executive, Director to help the Society pursue. its .purposes as set forth in Article II above. The Executive Director shall report to the President. The Executive Director shall have a required performance review on an annual basis with a report to the Board on deficient performance and follow-up on the Executive Director's performance changes to clear 'ap the deficiencies. Section 2. The Executive Director shall: A) Have the authority and responsibility to implement the policies and directives of the Board of Directors: B) Serve as an ex officio, non-voting member of all standing committeee of the Society and help support the work of all committees of the Society: C) Administer the internal and external affairs of the Society, pursuant to its purposes and consistent with Board policies and directives; D) Have overall accountability and responsibility for operation of the Anim81 Shelter, including employment and periodic performance rsvier of all staff.
