Little River Park Interlocal Agreement Draft July 29, 2002 <br /> each county on an equal basis. Durham County shall also be <br /> reimbursed for any costs associated with any negligent acts, failure <br /> to act or any intentional wrongful acts done by Park personnel in <br /> the management and/or operation of the Park. <br /> 13. Park Securitv and Public Safetv. <br /> Orange County and Durham County shall coordinate their efforts mi <br /> providing for safety and security of users of the park,park staff,and <br /> adjacent landowners in the most effective and efficient manner possible. <br /> a) <br /> 14. General Provisions. <br /> a) Relationship of Parties. Durham County and Orange County shall <br /> not have the power to bind or obligate the other party. <br /> b) Assignments. This agreement is not assignable by either party <br /> without the written consent of the other. <br /> c) Notices. All notices provided for in this agreement shall be in <br /> writing, addressed to the respective county managers. <br /> d) Governing Law. This agreement shall be construed under the <br /> provisions of the law of the State of North Carolina. <br /> C) Good Faith. The parties mutually agree to deal in good faith one <br /> with the other in all respects in performing their duties under this <br /> Agreement. All actions recommended and implemented in the <br /> Park Master Plan will require joint approval by both Boards. <br /> 15. Entire Agreement. This agreement contains the entire agreement between the <br /> parties and amendments, if any, shall be in writing and signed by both parties. <br /> 16. Duration. This agreement shall be effective as of the above date and will <br /> expire June 30,2007,unless terminated or extended as provided herein. Orange County <br /> and Durham County will discuss,prior to January 1, 2007,whether either county intends <br /> to assume or make other arrangements for operation of the Park at the termination of the <br /> original term of this Agreement or whether Orange County or Durham County desires to <br /> continue a contractual relationship for operation of the Park and upon what terms. The <br /> expectation of both counties is to continue the agreement on a year to year basis, except <br /> as properly amended or unless terminated in a manner set forth below. <br /> 17.
