7 <br />PROPOSAL <br />REQUIREMENTS: With regard to the Proposal Requirements on page 2 of the <br />Request for Proposals: <br />t) Other than the requirements contained herein, there are no <br />other conditions to the closing of this transaction other than <br />the preparation of acceptable documentation. <br />2) There will be no other fees paid for by the Borrower except <br />for what is indicated herein. <br />3) As stated, this proposal is valid until 12:00 noon on October <br />19, 2005. If accepted by that time, the loan must close by <br />December 15, 2005, <br />Unless otherwise provided in the Installment Financing Agreement executed by the Bank and <br />Borrower, the provisions contained herein will survive the closing of the Loan. This proposal is <br />not intended to be all-inclusive, and other standard terms and conditions may be included in the <br />Installment Financing Agreement and related loan documents. <br />This proposal will expire unless accepted in writing by 12:00 noon on October 19, 2005, and if the <br />loan does not close by December 15, 2005, unless the Bank extends the dates in writing.. If <br />accepted, this Letter should be signed by an authorized official of the Borrower in the space <br />provided below and returned to the undersigned.
