J10327.000-0032-000 r <br /> Trade Contractor to proceed with a change in the Work prior to agreement on any <br /> adjustment of the Contract Sum and/or Contract Time; <br /> "Subcontractor Change Order" Shall mean the written instrument signed by the Construction Manager and the Trade <br /> Contractor stating their agreement on a change in the Work and any adjustment of the <br /> Contract Sum and/or Contract Time; <br /> "Substantial Completion" Unless defined otherwise within the Prime Agreement,Substantial Completion shall <br /> mean,with respect to the Work or designated portions thereof,the Work is <br /> sufficiently complete in accordance with the Contract Documents so that the Owner <br /> can use the Work for its intended purposes; <br /> "Substantial Completion Date" Shall be identified on the Construction Schedule attached hereto; <br /> "Suitable","reasonable","proper","correct"and Shall mean as suitable,reasonable,proper,correct,or necessary for the purpose <br /> "necessary' intended as required by the Contract Documents,subject to the judgment of the <br /> Architect,Owner or the Construction Manager; <br /> "Testing Laboratory" Shall mean an independent entity engaged to perform specific inspections or tests of <br /> the Work,either at the project site or elsewhere,and to report and interpret the <br /> results of those inspections or tests; <br /> "Trade Contractor's Lower Tier Contractor(s)" Shall mean any subcontractor,materialman or supplier entering into a written <br /> subcontract with the Trade Contractor;and <br /> "Work" Shall mean the construction and completion of the Project and performance of all <br /> other obligations of the Trade Contractor together with all items reasonably inferable <br /> from the Contract Documents whether or not such items are fully detailed or specified <br /> in the Contract Documents. <br /> IIl <br /> -35- <br />
