<br /> "Overhead" Unless specifically noted otherwise in the Contract Documents,the term"overhead"
<br /> as used in Article 13.1 of the Trade Contract and elsewhere with similar meaning shall
<br /> be understood to include but not necessarily be limited to the following(i)Salaries,
<br /> fringes and other compensation of the Trade Contractor's personnel stationed at the
<br /> Trade Contractor's principal office or offices other that the project site office;(ii)
<br /> salaries,fringes and other compensation of the Trade Contractor's personnel
<br /> stationed at the project in"non-working"supervisory and/or administrative roles(iii)
<br /> expenses of the Trade Contractor's principal office and offices including the project
<br /> site office(these expenses include,without limitation,heat,light,power,stationery&
<br /> supplies,postage&shipping,office equipment(telephone,copiers,computers,
<br /> printers,software,furniture,radios,telephones,parking,all company vehicles,etc.),
<br /> lease line cost,drinking water,coffee,first aid,shop drawings,submittals,samples,
<br /> as-built drawings,blueprinting,photocopying,record storage,trailers);(iv)Trade
<br /> Contractor's capital expenses including interest on the Trade Contractor's capital
<br /> employed for the Work(v)penalties,fines,and costs imposed by governmental
<br /> authorities in connection with or resulting from any violation of,or noncompliance with
<br /> laws,regulations,codes,ordinances or directives;(vi)the cost of small tools(valued
<br /> at$250 or less per unit purchase price)and associated consumables;and(vii)
<br /> incidentals;
<br /> "Owner" Shall have the meaning given thereto in the Preamble to this Agreement;
<br /> "Project" Shall have the meaning given thereto in the Preamble of this Agreement;
<br /> "Project Criteria" All performance and design and/or performance criteria that such delegated design
<br /> services must satisfy;
<br /> "Punchlist(s)" Shall mean lists of incomplete or unsatisfactory items of Work prepared as part of the
<br /> Substantial Completion process;
<br /> "Punchlist Work" Shall mean Work shown on any Punchlist;
<br /> "Product" The term"product"shall include materials,equipment and systems;
<br /> "Product Data" Shall mean illustrations,standard schedules,performance charts,instructions,
<br /> brochures,diagrams and other information furnished by the Trade Contractor to
<br /> illustrate a material,product or system for some portion of the Work;
<br /> "Provide",or"Perform" Shall mean to supply,install and connect,complete and ready for safe and regular
<br /> operation of particular work referred to unless specifically noted otherwise;
<br /> "RFI" Shall mean a written request to obtain information not contained,or inferable from,
<br /> the Contract Documents.An RFI form will be used to obtain clarifications of the
<br /> content or intent of drawings or specifications issued by the Architect;
<br /> "Samples" Shall mean physical examples,which illustrate materials,equipment or workmanship
<br /> and establish standards by which the Work will be judged,but not used in the actual
<br /> Work;
<br /> "Site Safety Officer" Shall mean the person designated by the Construction Manager who has been
<br /> designated as the person responsible for implementing the field activities and ensuring
<br /> that activities are conducted in strict accordance with the approved Safety Plan;
<br /> "Site Supervisor" Shall be the person designated by the Construction Manager to supervise the
<br /> construction activites on site.;
<br /> "Specifications" Shall mean the portion of the Contract Documents consisting of the written
<br /> requirements for materials,equipment,systems,standards and workmanship for the
<br /> Work,and performance of related services;
<br /> "Submittals" Shall include,but are not limited to,Shop Drawings,Product Data,Samples,Mock-
<br /> ups,Benchmarks,Warranty,Maintenance Manuals,Waivers,and Releases;
<br /> "Subcontractor Change Directive" Shall mean the written instrument signed by the Construction Manager directing the
