STATEMENT OF WORK—SHAREPOINT ONLINE MIGRATION <br />This Statement of Work (“Statement of Work” or “SOW”) dated June 1, 2026, (“SOW Effective Date”) is entered into by and <br />between Carahsoft Technology Corporation, with an office at 11493 Sunset Hills Road, Reston, VA 20190 (“Carahsoft”) and Orange <br />County (“Client,” “you” or “your”) ,with services provided by RSM US LLP, an Iowa limited liability partnership (“RSM,” “we,” “us” <br />or “our”) pursuant to the Master Services Agreement dated December 13, 2023 (the “Agreement”) all of the terms of which are hereby <br />incorporated herein by reference. Carahsoft, RSM, and Client are each a “party” to this SOW and sometimes collectively referred to <br />herein as the “parties.” Any capitalized terms used herein which are not otherwise defined in this SOW shall have the same meaning as <br />that given to them in the main body of the Agreement. <br />A.Services and Scope of Work <br />Our work will be to assist and advise you with this engagement. As stated below and for clarity, we will not, nor does Client desire us <br />to, perform any management functions, make management decisions, or otherwise perform in a capacity equivalent to that of an <br />employee or officer of Client. <br />Workstream 0 – Microsoft 365 Foundation and Readiness – Microsoft FastTrack <br />This workstream focuses on strategy, governance and readiness activities only and does not include site configuration, content <br />migration or technical execution, which are addressed in subsequent phases. <br />As part of this Microsoft FastTrack Workstream, RSM will assist with the following: <br />•Confirm ownership, decision rights and escalation relating to a migration and enablement of SharePoint as a <br />document repository and Intranet <br />•Define guardrails for SharePoint, Teams and OneDrive usage <br />•When to use SharePoint versus Teams versus OneDrive <br />•Clear sequencing into Workstream I <br />•Dependencies and “do / don’t” guidance for departments <br />Deliverables <br />•Brief readiness and guardrails summary <br />•Go‑forward roadmap into migration and adoption phases <br />Workstream I – Content Assessment and Pilot Migration <br />RSM will utilize our proven content assessment methodology to gather necessary requirements and design a thorough information <br />architecture in SharePoint Online and Teams. Our content assessment methodology is a three (3)-phased approach that yields a <br />detailed roadmap for content in Microsoft 365 (M365) and a governance strategy for future growth of Client’s M365 content <br />platforms.
