Funds in the Customer Credit Balance may be used toward the <br />purchase of future Intergraph software or services. All other Terms and Conditions remain unchanged and all <br />Intellectual Property Rights covered by this Order/Request remain with Intergraph. <br />This Change Order does affect the contract value. All other Terms and Conditions remain unchanged and all Intellectual <br />Property Rights covered by this Order/Request remain with Intergraph. <br />Software Relinquishment: <br />Except as prohibited by Customer’s valid maintenance agreement, by executing this Change Order the Customer hereby: (i) relinquishes, <br />surrenders, terminates, and disclaims, in perpetuity, its right to use, or allow the use in any manner, the Relinquished Licenses; (ii) agrees that <br />it will uninstall and remove from any and all Customer’s system(s) the Relinquished Licenses immediately; and (iii) acknowledges and agrees <br />that all other terms and conditions of any prior written agreements regarding the Relinquished Licenses, including but not limited to Octave’s <br />End-User License Agreement, will remain in full force and effect, except for the grant of the license rights themselves. If Customer later <br />decides to reinstate use and/or maintenance of the Relinquished Licenses, Customer must re-purchase the licenses at the then-current list <br />price. <br />To complete this software exchange, Customer is required to complete and sign the Software Relinquish Agreement form (Attachment A) <br />provided as part of this Change Order and return it with the executed Change Order.
