16 <br /> Except as otherwise provided for in the Declaration, an itemized invoice with supporting <br /> documentation shall be provided to the nonperforming Party within thirty(30)calendar days following <br /> the completion of any work performed on its behalf, and the nonperforming Party shall reimburse the <br /> other Party for all such expenses within sixty(60) calendar days following its receipt of such invoice. <br /> 11. Covenants Run With The Land. The rights, obligations and benefits established <br /> pursuant to this Agreement shall run with title to the Properties and shall inure to and be for the benefit <br /> of the Parties and their successors and assigns, and those claiming by, through or under them. <br /> 12. Headings. The headings of this Declaration are for the purpose of reference only and <br /> shall not limit or define the meaning thereof. <br /> 13. Governing Law. This Declaration shall be construed and enforced in accordance <br /> with, and governed by, the laws of the State of North Carolina. If any provision contained in this <br /> Declaration shall for any reason be held invalid,illegal or unenforceable in any respect,such invalidity, <br /> illegality or unenforceability shall not affect any other provision of this Declaration and this <br /> Declaration shall be construed as if such invalid, illegal or unenforceable provision had never been <br /> contained in this Declaration. <br /> 14. Modifications. This Declaration or any term hereof may not be changed, waived, <br /> modified, or terminated orally,but only by an instrument in writing signed by the Party against whom <br /> the enforcement of the change, waiver modification, or termination is sought. <br /> 15. Notices. All notices, requests, demands and other communications hereunder shall be <br /> in writing, shall be given simultaneously to the parties below and shall be delivered by either certified <br /> mail,postage pre-paid, return receipt requested or by nationally recognized overnight courier service, <br /> or by email with receipt verified. Any notice or communication given hereunder shall be deemed to <br /> have been given,rendered or made on the date so delivered. Refusal to accept delivery shall constitute <br /> receipt.
