50 <br /> Section 5.04. Severability. If any provision of this Supplemental Agreement <br /> is determined to be unenforceable, that does not affect any other provision of this <br /> Supplemental Agreement. <br /> Section 5.05. Counterparts. This Supplemental Agreement may be signed in <br /> several counterparts, including separate counterparts. Each will be an original, but <br /> all of them together constitute the same instrument. <br /> Section 5.06. Definitions; Rules of Interpretation. Unless the context <br /> clearly requires otherwise, capitalized terms used as defined terms in this <br /> Supplemental Agreement and not otherwise defined have the meanings set forth in <br /> Exhibit B, and if not defined there will have the meanings set forth in the Prior <br /> Agreement. This Supplemental Agreement will be interpreted in accordance with <br /> the rules of interpretation set forth in the 2018 Agreement. <br /> Section 5.07. Governing Law; Forum. (a) The County and the Trustee <br /> intend that North Carolina law will govern this Supplemental Agreement and all <br /> matters of its interpretation. <br /> (b) To the extent permitted by law, the parties agree that any legal action <br /> concerning this Supplemental Agreement must be initiated in one of the following <br /> forums: (i) the North Carolina General Court of Justice located in Orange County, <br /> North Carolina; or (ii) if the action is required by law to be filed in a United States <br /> federal court, in the United States District Court for the Middle District of North <br /> Carolina. <br /> [The remainder of this page has been left blank intentionally.] <br /> 21 <br />
