Revised 01/24 <br /> <br />NORTH CAROLINA <br />CONTRACT AMENDMENT <br />ORANGE COUNTY <br /> <br /> <br />THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 3rd day of February, 2026 by and <br />between ORANGE COUNTY (hereinafter referred to as “County”) and SHI International, Corp, (hereinafter referred <br />to as “Provider”). <br /> <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered into a contract dated 29 April 2024 (hereinafter the “Original <br />Agreement”), for the provision of services for Resale of CloudFlare software/services per SHI pricing proposal (Quotation <br /># 25859732); and <br /> <br />WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br />conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original Agreement as follows: <br /> <br />1. In order to ensure the completion of the Services identified in the term of the Original Agreement is amended <br />to reflect an end date by which all Services shall be completed of 4/30/2027 <br /> <br />2. Pricing proposal #24788018 of the Original Agreement is amended by adding the following tasks and <br />services to the Services to be provided by the Consultant: software maintenance and technical support for <br />CloudFlare software for the period of May 1, 2026 – April 30, 2027 as described in attached Quotation <br />#27102767. <br /> <br />3. Article 5, Section a is amended to reflect a maximum payable not-to-exceed amount of $60,031.63 <br />($22,717.15 original contract + $17,829.61 first amendment + $19,484.87 this amendment). <br /> <br />4. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent <br />it is not inconsistent with this Amendment.
