any items deleted or returned. <br />5. Returns- All returns are subject to restocking, shipping and handling charges. <br />6. Accessibility –To ensure the ability to provide services the Client will be required to provide access to client <br />locations, <br />information and customer contacts during normal business hours 7-6 Monday through Friday. Should such access to <br />locations, <br />Client contact or information not be provided, Client is responsible for any service delays or added costs. <br />7. Warranty – Intellicom Inc. warrants that at Implementation and for the duration of the warranty period referred to <br />below, each <br />item or equipment, will function substantially in accordance with the manufacturer ’s published specifications, <br />provided it is not <br />damaged as set forth in section 8 and is used according to standard operating instructions issued by the <br />manufacturer. Unless <br />otherwise stated in the proposal, the warranty period for equipment installed by Intellicom Inc. is (1) year from when <br />Intellicom <br />Inc. Notifies the owner that the installation is ready for use, upon substantial completion, or upon beneficial use, <br />whichever <br />comes first. During the warranty period defective parts will be repaired or replace at our option at no additional cost <br />to the end <br />user. Warranty support is subject to final payment and acceptance by the customer of record. Non-payment of <br />services invoice <br />shall void any and all warranty support. <br />8. Default by Client – Upon any default by Client under this Agreement, including refusal to accept conforming <br />equipment or <br />services, Intellicom may exercise all remedies to which Intellicom may be entitled at law or in equity, including specific <br />performance. Additionally, Intellicom may declare all sums due or to become due hereunder immediately due and <br />payable, and <br />Intellicom shall be entitled to recover all collection costs incurred, including legal interest. In addition, for payments <br />not <br />received within (30) days of the invoice date, a late fee of 2% per month may be assessed on any past due invoice <br />balance. <br />9. Liquidated Damages- Liquidated damages are specifically excluded from this proposal. No consideration has <br />been made for <br />liquidated damages in the scope of work in this proposal. <br />10. Current Volatile Conditions – Due to price fluctuations, global market conditions, actions of foreign or local <br />governments <br />especially on imported products, Intellicom Inc. reserves the right to renegotiate pricing with our customers in the <br />event of price <br />escalation. We will make every effort to mitigate this impact, however, if our pricing escalated from added tariffs or <br />unexpected <br />cost impacts, we will immediately bring this to the attention of the client and a price adjustment shall be justified. <br />11. Subscription Services -If this project requires subscription charges for ongoing services such as monitoring, hosting <br />fees, <br />Software Support Agreements, cloud services or similar services, recurring subscriptions will be invoiced annually. <br />Subscription <br />services are subject to price changes as our costs increase. <br />12.Subscription Cancellations - Cancellations must be requested in writing.
