5 January 2024 <br />EXHIBIT A <br /> <br />Service Level Terms <br /> <br />Except for scheduled maintenance and any downtime resulting from outages of third-party connections or utilities (including <br />but not limited to electrical, cellular and Internet service interruptions) or other reasons beyond Company’s control (“permitted <br />downtime”), Company shall ensure the reasonable functionality of the EV Cloud Subscription Service.
