Revised 01/24 <br />NORTH CAROLINA <br />SECOND CONTRACT AMENDMENT <br />ORANGE COUNTY <br />THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 05 day of February, 2026 by and <br />between ORANGE COUNTY (hereinafter referred to as “County”) and Catalis Courts & Land Records, LLC <br />(hereinafter referred to as “Provider”). <br />WITNESSETH: <br />THAT WHEREAS, the County and Provider entered into a contract dated August 28, 2024 (hereinafter the “Original <br />Agreement”), for the provision of services for Licenses and technical support and previously amended on November 20, <br />2024 (“First Amendment); and <br />WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br />conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original Agreement as follows: <br />1.Article 5, section a is amended as follows: <br />Compensation for Basic Services. Compensation for Basic Services shall include all compensation due the <br />Provider from the County for all services satisfactorily (as determined by the County) performed pursuant to <br />this Agreement. The maximum amount payable for Basic Services shall not exceed forty two thousand one <br />hundred seventy four dollars and twenty one cents ($42,174.21): $19,774.21 having been paid and $22,400 to <br />be paid upon implementation of the AIMS-Diversion product. (See Appendix A2 for additional details). <br />Payment for satisfactorily performed Basic Services shall become due and payable within thirty (30) days of <br />Provider properly invoicing County. Payment shall be subject to the provisions of Section 5(b) in the original <br />contract. <br />2.Exhibit A is replaced in its entirety with the attached Appendix A2 (Amended Quote). <br />3.Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent <br />it is not inconsistent with this Amendment.
