2. uorum <br />A majority of the Board then in office shall constitute a quorum for the <br />transaction of business for any meeting of the Board. <br />ARTICLE V -OFFICERS <br />1. Number and Title <br />The principle officers of the Board shall be a chairperson, vice-chairperson and <br />secretary. The office of secretary will be held by the Director of the Orange <br />County Department on Aging or another appointee of the County Manager. <br />2. Election <br />The chairperson and vice-chairperson shall be elected by the Board for a term of <br />one year at its first meeting in the County fiscal year or until his/her successor <br />shall be duly elected and qualified. <br />3. Vacancies <br />Any vacancy in any office elected by the Board may be filled by the Board for the <br />unexpired portion of the term. <br />4. Chairperson <br />The chairperson shall preside at all meetings of the Board and shall represent the <br />Board in approved activities on its behalf. <br />5. Vice-Chairperson <br />In the absence of the Chairperson, the Vice-Chairperson shall perform the duties <br />of the Chairperson. <br />6. Secretary <br />The Director of the Department on Aging or another appointee as Secretary <br />shall: <br />(a) record and keep a file of the minutes of the board meetings, <br />(b) see that all notices of meetings are duly given and, <br />(c) in general perform all duties incident to the office of secretary. <br />Page 4 of 5 <br />
