Revised 01/24 <br /> <br />NORTH CAROLINA <br />CONTRACT AMENDMENT #2 <br />ORANGE COUNTY <br /> <br /> <br />THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 16th day of January 2026 by and <br />between ORANGE COUNTY (hereinafter referred to as “County”) and Schnabel Engineering South, P.C (hereinafter <br />referred to as “Provider”). <br /> <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered into a contract dated November 1, 2024, with an internal designation <br />of 2024-674 (hereinafter the “Original Agreement”), for the provision of services for Professional Engineering Services <br />for the Lake Orange Intake Tower Rehabilitation-Replacement Project; and <br /> <br />WHEREAS, the County and Provider entered into a contract amendment dated February 28, 2025, with an internal <br />designation of 2025-094 (hereinafter “Contract Amendment 1”), for the provision of a no-cost time extension for <br />Professional Engineering Services for the Lake Orange Intake Tower Rehabilitation-Replacement Project; and <br /> <br />WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br />conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original Agreement as follows: <br /> <br />1. Section 3(a)(ii) is amended to reflect a Milestone Date of December 31, 2026 for Milestone Task 6 <br /> <br />2. Section 4(a) is replaced in its entirely with the following: <br /> <br />a. Term. The term of this Agreement shall be from January 16, 2026 to December 31, 2026. <br /> <br />3. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent <br />it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original <br />Agreement and the terms of this Amendment, this Amendment shall control. <br /> <br /> <br /> IN TESTIMONY WHEREOF, this Amendment has been executed by the parties hereto, as of the date first above <br />written. <br /> <br />ORANGE COUNTY PROVIDER <br /> <br />______________________________ __________________________________ <br /> Gerald C.
