PROPRIETARY AND CONFIDENTIAL | REV. DATE: 03/11/2010 <br />TERMS AND CONDITIONS <br />GOVERNING TERMS: These standard terms <br />and conditions shall apply to all sales of <br />products and services by Utility Metering <br />Solutions (“UMS”). Acceptance of these terms <br />and conditions shall be conclusively presumed <br />from an order of UMS products or services. <br />PRICES: Quotes are valid for (60) days from <br />the date of proposal unless indicated otherwise. <br />TERMS OF PAYMENT: Payment by the <br />Customer shall be made within a maximum <br />period of thirty (30) days after the date of the <br />invoice, unless otherwise noted in writing. UMS <br />will progress bill every 30 days if the estimated <br />project completion exceeds 30 days. In the <br />event an invoice becomes past due, UMS <br />reserves the right to charge the Purchaser a <br />1.5% interest fee on all past due accounts. <br />INCENTIVES: Utility rebates and EPAct Tax <br />Deductions, if applicable, referenced in the <br />project documentation are estimates only and <br />are subject to specific guidelines and <br />requirements. Actual incentives amounts may <br />vary. In no event shall the rebate or tax <br />incentive affect Customer’s obligation to pay <br />UMS the total proposed amount. <br />FREIGHT CHARGES AND TITLE TRANSFER: <br />Shipments of turn-key projects are F.O.B. <br />destination. Freight charges are typically <br />included in the project price unless noted in <br />writing. All products shall be deemed to be <br />delivered and title to all products shall pass to <br />the Purchaser at such time as product is <br />unloaded at the customer’s facility. Customer is <br />responsible for receiving and inspecting for <br />damage all deliveries from UMS and will not be <br />responsible for missing product after receipt by <br />Customer. Customer should take appropriate <br />precautions during installation to protect the <br />product from theft on premises. <br />FACILITY: UMS assumes that the facility in <br />which the proposed solution is to be installed <br />meets all national, state and local electric and <br />building codes. If upgrades are required to <br />meet these codes, costs for the upgrades are <br />the sole responsibility of the customer. All <br />voltages where the solution is to be installed <br />are assumed to be between 120 volts and 277 <br />volts unless noted in writing. If voltages vary, <br />costs associated with correcting the voltage of <br />the fixture or facility will be the sole <br />responsibility of the customer. The electrical <br />system that supplies power to the solution must <br />meet power quality specifications as outlined in <br />IEEE 1159. If it is determined that a deviation <br />from these specifications exists it may void the <br />warranty of the solution. If the electrical system <br />requires a modification to bring the Customer’s <br />system within the IEEE 1159 specifications, <br />associated costs is the sole responsibility of the <br />customer. <br />CHANGE ORDERS: UMS conducted a <br />thorough survey of Customer’s facility and <br />designed a solution as documented in our <br />proposal. However, due to unforeseen <br />situations, oversights, or facility changes since <br />the survey, 100% accuracy may not be <br />achievable. Therefore, if adds, changes, or <br />deletions are needed to deliver the result <br />required by the Customer, a change order may <br />be issued. <br />In case a change order is required, the <br />Customer will be presented with the change <br />order and any associated costs for approval. <br />Charges or credits for approved changes will <br />be issued under the original purchase order <br />upon completion of the project. <br />CANCELLATION TERMS: UMS will accept <br />order cancellations only if the cancellations are <br />sent to UMS in writing and received prior to <br />manufacturing or shipment of the order. <br />Verbal cancellations will not be accepted. <br />In the event of order cancellation there will be a <br />cancellation charge of the costs incurred up to <br />the time of cancellation or change. <br />INSTALLATION: UMS will install the solution in <br />the Customer’s facility in a timely and <br />professional manner. UMS will conduct a walk- <br />through with the Customer at the end of the <br />project. Upon the resolution of any punch list <br />identified during the walk-through, the project is <br />considered complete. Any repairs or corrective <br />actions after project completion are to be <br />handled under the warranty provisions. Please <br />refer to the attached warranty terms and <br />conditions for warranty claim procedures. <br />FORCE MAJEURE: UMS shall not be liable for <br />delays or inability to perform due to strikes, <br />labor disputes, lockouts, fire, flood, war, <br />declared or undeclared, insurrections, riots, <br />acts of nature, embargoes by foreign nations, <br />inability to obtain or unusual delays in obtaining <br />materials, shortages of power needed to <br />operate plants, governmental regulations or <br />priorities, or any other cause beyond the control <br />of the Company. In case of any delays in <br />receipt, shortages of materials, or shortages of <br />power needed to operate plants, UMS reserves <br />the right in its sole discretion to determine the <br />assignment of materials, and the order of <br />priority in filling orders. UMS also reserves the <br />right in its sole discretion to cancel orders by <br />written notice in the event it believes that by <br />reason of the foregoing it will not be able to <br />meet the scheduled completion date. <br />LIMITATION OF LIABILITY: Under no <br />circumstances shall UMS be liable to Customer <br />for any indirect, incidental or consequential <br />losses or damages. <br />Docusign Envelope ID: 1F8C46CD-1FC1-48D6-A0AD-DEE659D008C4
