<br /> <br />Orange County, NC Lifecycle Modeling - Facilities Project #25-0629 <br />August 28, 2025 Pag e | 5 <br /> Compensation for Services <br />Consultant proposes to provide the Basic Services outlined in the Scope of Services on a lump sum <br />basis with budgets as shown below plus reimbursable expenses in accordance with Exhibit II . The <br />amounts set forth below have been determined based on the nature, scope and complexity of the <br />Project as represented in the information provided to Consultant by Client prior to submittal of this <br />agreement; subsequent changes thereto may result in additional fees. <br />Task <br />No. Task Name Fee Discount Price <br />Facilities <br />1 Model Development (one-time fee) $18,600 50% $9,300.00 <br />2 Managed Services (Oct 2025 – June 2026) $20,625 3% $20,006.00 <br />TOTAL $29,306.00 <br /> <br />Term <br />The initial managed service term of this Schedule is October 1st, 2025 through June 30th, 2026. After <br />the initial term, this Schedule will automatically renew for a one-year renewal term. Thereafter, this <br />Schedule will continue to be renewed for additional one-year renewal terms, unless either party <br />provides written notice to the other party of its intent to terminate this Schedule at least sixty (60) <br />days in advance of the renewal date. WithersRavenel may adjust the fees for any renewal term by <br />providing Client with notice of such fees for the upcoming term at least ninety (90) days prior to the <br />end of the then-current term. <br /> Invoices will be issued monthly, the Model Development task will be billed based on the <br />percentage of completion for the lump sum amount, the Managed Services task will be invoiced <br />at the start of the term for the full lump sum amount. Payment is due upon receipt of invoice. <br /> The above fees are based on the estimated timelines noted in the Timeline for Services. Any <br />adjustments to those timelines may result in additional fees. <br /> Consultant may alter the distribution of compensation between individual Tasks noted herein to <br />be consistent with services rendered but shall not exceed the total Lump Sum amount unless <br />approved in writing by the Client. <br /> The attached Exhibit II, Fee & Expense Schedule, is based on Consultant’s rates as of the date of <br />this agreement and may be subject to change for hourly tasks and any Additional Services that <br />occur after any adjustments to such rates go into effect. <br /> <br />Docusign Envelope ID: 5622E999-C699-491D-A456-5EFFDDB75E19
