HEADINGS AND CONSTRUCTION. <br />The PARTIES agree that the headings and sections of this AGREEMENT are used <br />for convenience only and shall not be used to interpret the provisions herein. The <br />PARTIES also agree that the terms of this AGREEMENT were jointly negotiated <br />and each has had an opportunity to review and discuss each provision with legal <br />counsel, to the extent desired.
