ENV-CPL 00003 00 (02/12) Page 15 of 22 <br />Includes copyrighted material of Insurance Services Offices, Inc. with its permission. <br />a.Is responsible for the payment of all premiums; <br />b.Will be the payee for any return premiums we pay; and <br />c.Is responsible for the payment of all deductibles. <br />14.Representations <br />a.By accepting this policy, you agree: <br />(1)The statements and information in any Application and/or Questionnaire and other supplemental <br />materials submitted to us are accurate and complete and are material to our underwriting of this <br />policy; <br />(2)Those statements and the information provided are based upon representations you made to us; <br />and <br />(3)We have issued this policy in reliance upon your representations. <br />b.Misrepresentation, concealment, breach of a term or condition, or violation of any duty under this <br />policy by one insured shall not prejudice the interest of coverage for another insured under this <br />policy. Provided, however, that this condition shall not apply to any insured who is a parent, <br />subsidiary or affiliate of the first Named Insured. <br />15.Separation of Insureds <br />Except with respect to the Limits of Insurance, and any rights or duties specifically assigned in this <br />policy to the first Named Insured, this insurance applies: <br />a.As if each Named Insured were the only Named Insured; and <br />b.Separately to each insured against whom claim is made or suit is brought. <br />16.Service of Suit <br />In the event of our failure to pay any amount claimed to be due hereunder, we, at your request, will <br />submit to the jurisdiction of a court of competent jurisdiction within the United States. Nothing in this <br />condition constitutes or should be understood to constitute a waiver of our rights to commence an <br />action in any court of competent jurisdiction in the United States, to remove an action to a United <br />States District Court, or to seek transfer of a case to another court as permitted by the laws of the <br />United States or of any state in the United States. It is further agreed that service of process in such <br />suit may be made upon counsel, Legal Department, Allied World Assurance Company (U.S.) Inc., <br />199 Water Street, 24th Floor, New York, NY 10038 or his or her representative, and that in any suit <br />instituted against us upon this policy, we will abide by the final decision of such court or of any <br />appellate court in the event of an appeal. <br />Further, pursuant to any statute of any state, territory, or district of the United States which makes <br />provision therefore, we hereby designate the Superintendent, Commissioner or Director of Insurance, <br />or other officer specified for that purpose in the statute, or his or her successors in office, as its true <br />and lawful agent upon whom may be served any lawful process in any action, suit, or proceeding <br />instituted by or on your behalf or any beneficiary hereunder arising out of this policy of insurance and <br />hereby designates the above named as the person to whom the said officer is authorized to mail such <br />process or a true copy thereof. <br />Docusign Envelope ID: 03EC0D15-D674-4D12-9ED3-8A2C214EE218
