1 <br /> ORANGE COUNTY <br /> BOARD OF COMMISSIONERS <br /> ACTION AGENDA ITEM ABSTRACT <br /> Meeting Date: November 18, 2025 <br /> Action Agenda <br /> Item No. 8-1 <br /> SUBJECT: Approval of Enterprise Agreement for Microsoft Office 365 Subscription <br /> Licenses <br /> DEPARTMENT: Information Technologies <br /> ATTACHMENT(S): INFORMATION CONTACT: <br /> Contract with Software House Robert Reynolds, Chief Information <br /> International Officer, 919-245-2276 <br /> Quote from Software House International David Mathias, IT Operations Manager, <br /> Microsoft Enterprise Enrollment 919-245-2272 <br /> PURPOSE: To: <br /> 1) Approve and authorize the Manager to sign a contract for the purchase of Microsoft <br /> Office 365 subscription licenses from Software House International Corp.; and <br /> 2) Approve and authorize the Manager to sign the associated Microsoft Volume Licensing <br /> Enrollment Agreement. <br /> BACKGROUND: Orange County staff utilize Microsoft Office 365 products to assist with <br /> productivity. The current Enterprise Agreement with Microsoft is three years old and is due to <br /> be renewed. The attached agreement has been negotiated between Software House <br /> International Corp., Microsoft, and Orange County legal staff using the County's contract <br /> template. <br /> Since January 2023, Orange County has had an Enterprise Agreement with Microsoft to <br /> provide licensing for the Microsoft Enterprise 365 software suite, Power BI, Teams, Datacenter <br /> Server, and Visio. This Enterprise Agreement allowed for the use of this software with the <br /> yearly unit price for the software locked in place over the term of the agreement. The new <br /> Enterprise Agreement will continue the same model, with the price locked in for the next three <br /> (3) years. <br /> The associated Microsoft Volume Licensing Enrollment Agreement was originated by the <br /> vendor in line with industry standards while also meeting policy requirements and legal <br /> sufficiency. <br /> FINANCIAL IMPACT: The annual subscription amount is $681,807.31 through NC State <br /> Contract#208C, paid annually each year for three years. The ongoing costs for Microsoft Office <br /> 365 are funded through the Information Technologies Operating Budget with the existing <br /> annual maintenance line item. Funding for the FY 2025-26 portion of this three-year agreement <br /> was previously appropriated in the budget. Funding will be included in the Manager's <br /> Recommended budgets in future fiscal years. It should be noted that the agreement may <br />
