Any and all suits or actions to enforce, interpret or seek damages with <br />respect to any provision of, or the performance or non-performance of, this Agreement <br />shall be brought in the General Court of Justice of North Carolina sitting in Orange <br />County, North Carolina. It is agreed by the parties that no other court shall have <br />jurisdiction or venue with respect to such suits or actions. Binding arbitration may not be <br />initiated by either Party, however, the Parties may agree to nonbinding mediation of any <br />dispute prior to the bringing of such suit or action. <br />g. Entire Agreement. This Agreement represents the entire and integrated agreement <br />between the County and the Licensee and supersedes all prior negotiations, representations <br />or agreements, either written or oral. This Agreement may be amended only by written <br />instrument signed by both parties. Modifications may be evidenced by facsimile <br />signatures. <br />h. Severability. If any provision of this Agreement is held as a matter of law to be <br />unenforceable, the remainder of this Agreement shall be valid and binding upon the <br />Parties. <br />i. Signatures. This Agreement together with any amendments or modifications may be <br />executed electronically. All electronic signatures affixed hereto evidence the consent of <br />the Parties to utilize electronic signatures and the intent of the Parties to comply with <br />Article 11A and Article 40 of North Carolina General Statute Chapter 66. <br />j. Event Day Notices. In addition to the Other Notices provisions of this Agreement, each <br />Licensee shall designate, in writing to the County no later than seven (7) days prior to the <br />Festival, at least one and no more than two, authorized representative(s) who shall: (i) be <br />physically present on the Premises during all Festival hours, (ii) have full decision-making <br />authority on behalf of that Licensee, and (iii) be reachable at all times by mobile phone. <br />1. Any oral or written directive, instruction, or communication delivered by County <br />staff to such representative during the Festival shall be deemed binding notice to <br />that Licensee under this Agreement, effective immediately upon delivery. <br />2. If a designated representative leaves the Premises or becomes unavailable, the <br />Licensee must promptly designate a replacement with equivalent authority and <br />notify the County’s representative. Failure to maintain an authorized representative <br />on site may be treated as a breach of this Agreement. <br />3. Each designated representative shall have full authority to bind that Licensee to <br />directives of the County, including immediate suspension or termination of <br />activities. <br />4. The contact information for all on-site representatives shall be provided in a format <br />substantially similar to that at Exhibit E – Authorized On-Site Representative Form. <br />k. Other Notices.
