Revised 01/24 <br />3 <br />a. Basic Services. The Services to be rendered pursuant to this <br />Agreement are as follows (fully describe services to be provided): <br />Disconnect dental chairs (9) and panoramic x-ray (1) machine, <br />and reconnect dental chairs (9) and panoramic x-ray (1) after <br />construction by others is complete.In the event that County <br />requests that the Basic Services include disconnection of County <br />Dental Equipment for reinstallation at separate premises or a <br />separate address, County shall be solely responsible, at its <br />expense, for transporting the disconnected Dental Equipment to <br />the location where reinstallation Services are requested. <br />i) County shall provide Provider with the appropriate <br />owner’s/installation manual for any radiological Dental <br />Equipment. County acknowledges and agrees that <br />Provider shall not reconnect or reinstall any radiological <br />Dental Equipment without having first received the <br />appropriate owner’s/installation manual for such <br />equipment from County. <br />ii) With respect to wall-mounted equipment, such must be <br />reinstalled using new hardware which meets or exceeds <br />the applicable manufacturer's recommendations and <br />Provider shall determine in its sole discretion whether <br />wall support/backing is required for reinstallation of the <br />wall-mounted Dental Equipment and if so, Provider shall <br />not perform such reinstallation unless and until County <br />engages a contractor to complete installation of the <br />necessary wall. <br />4. Duration of Services <br />a. Term. The term of this Agreement shall be from August 29, 2025 to October 31, 2025. <br />b. Scheduling of Services. <br />i) The Provider shall schedule and perform its activities in a timely manner. <br />ii) Should the County determine that the Provider is behind schedule, it may require <br />the Provider to expedite and accelerate its efforts, including providing additional <br />resources and working overtime, as necessary, to perform its services in accordance <br />with the approved project schedule at no additional cost to the County. <br />iii) The Commencement Date for the Provider's Basic Services shall be August 29. <br />5.
