4. Entrant shall maintain, and shall have its agents, employees, assigns, contractors and subcontractors <br />maintain, adequate insurance coverage, as determined by Property Owner. Prior to entering the Property, <br />Entrant shall provide Property Owner certificates of insurance evidencing such insurance coverage of Entrant, <br />its contractors, or subcontractors and naming Orange County an additional insured. An additional insured <br />endorsement, satisfactory to the Orange County Risk Manager, must accompany the certificate. <br /> <br />5. Upon the earlier of Property Owner's request or the expiration or termination of this Agreement Entrant will <br />immediately remove any and all of its equipment from the Property and restore the Property to its condition <br />existing immediately prior to such entry, reasonable wear and tear excepted. <br /> <br />6. Entrant acknowledges and agrees the right of entry and use granted by this Agreement is limited to a time <br />and date certain beginning Thursday September 11th_________ at 6:00 a.m. and ending Friday September <br />12th_________ at 6:00 p.m. <br /> <br />7. Property Owner acknowledges that Entrant shall own all rights of every kind in and to the physical <br />embodiments of filming, recording, and photography on the Property (the “Materials”), including copyright and <br />all other intellectual property rights in the Materials which shall be and remain vested in Entrant. Entrant shall <br />have the irrevocable right to exploit the Materials throughout the world, an unlimited number of times, in <br />perpetuity in any and all media (now known or hereafter invented) in connection with the Permitted Activities <br />or otherwise, including without limitation, for advertising and promotional purposes. Notwithstanding Entrant’s <br />ownership of all rights in and to the Materials, for the avoidance of doubt, where applicable, Property Owner <br />shall retain ownership of all Property Owner’s seals, marks, designs, trademarks, logos, and any other marks <br />or designs specific to Property Owner (“Owner’s Marks”) as may be incorporated in the Materials. Property <br />Owner forever reserves the irrevocable right to control the use and/or display, of whatever kind, the Owner’s <br />Marks and to review the Materials for such Owner’s Marks. If Owner’s Marks are present in the materials or <br />finished product derived from the materials Property Owner may, in writing, request removal of such Owner’s <br />Marks and Entrant shall immediately remove such Owner’s Marks. <br /> <br />8. This Agreement constitutes the entire understanding between the parties with respect to the activities <br />contemplated by this Agreement. All prior agreements or understandings, whether oral or written, are <br />superseded. This Agreement may be amended only by a written document duly executed by the parties.
