18 . Quarantining of Client Data . Some services provided by Tyler require us to be in possession of your <br /> Data . In the event we detect malware or other conditions associated with your Data that are <br /> reasonably suspected of putting Tyler resources or other Tyler clients ' data at risk, we reserve the <br /> absolute right to move your Data from its location within a multi -tenancy Tyler hosted environment <br /> to an isolated "quarantined " environment without advance notice . Your Data will remain in such <br /> quarantine for a period of at least six ( 6 ) months during which time we will review the Data , and all <br /> traffic associated with the Data , for signs of malware or other similar issues . If no issues are <br /> detected through such reviews during the six ( 6 ) month period of quarantine , we will coordinate <br /> _ with you the restoration of your Data to a non - quarantined environment . In the event your Data <br /> m must remain in quarantine beyond this six ( 6 ) month period through no fault of Tyler' s, we reserve <br /> the right to require payment of additional fees for the extended duration of quarantine . We will <br /> m Z provide an estimate of what those costs will be upon your request . <br /> I <br /> 19 . Business License . In the event a local business license is required for us to perform services <br /> hereunder, you will promptly notify us and provide us with the necessary paperwork and/or contact <br /> information so that we may timely obtain such license . <br /> 20 . Governing Law . This Agreement will be governed by and construed in accordance with the laws of <br /> your state of domicile, without regard to its rules on conflicts of law . <br /> 21 . Multiple Originals and Authorized Signatures . This Agreement may be executed in multiple <br /> originals, any of which will be independently treated as an original document . Any electronic, faxed , <br /> scanned , photocopied, or similarly reproduced signature on this Agreement or any amendment <br /> hereto will be deemed an original signature and will be fully enforceable as if an original signature . <br /> Each party represents to the other that the signatory set forth below is duly authorized to bind that <br /> party to this Agreement . <br /> 22 . Cooperative Procurement . To the maximum extent permitted by applicable law, we agree that this <br /> Agreement may be used as a cooperative procurement vehicle by eligible jurisdictions . We reserve <br /> the right to negotiate and customize the terms and conditions set forth herein, including but not <br /> limited to pricing, to the scope and circumstances of that cooperative procurement . <br /> 23 . Data & Insights Solution Terms . Your use of certain Tyler solutions includes Tyler' s Data & Insights <br /> data platform . Your rights, and the rights of any of your end users, to use Tyler' s Data & Insights <br /> data platform is subject to the Data & Insights SaaS Services Terms of Service, available at <br /> https : //wwwotylertech . com /terms/data - insights-saas - services-terms-of-service . By signing a Tyler <br /> Agreement or Order Form , or accessing, installing, or using any of the Tyler solutions listed at the <br /> linked terms, you certify that you have reviewed , understand , and agree to said terms . <br /> 24 .
