<br /> <br /> www.callmc.com <br /> <br />Mobile Communications America, Inc. <br />Confidential and Proprietary <br />Not to be copied or distributed without the express written consent of Mobile Communications America, Inc. <br /> <br /> <br />4.4 if a trustee, receiver, custodian or agent of a party is appointed under applicable law, or under <br />contract, whose appointment or authority to take charge of property of a party is for the purpose of <br />enforcing a lien against such property or for the purpose of general administration of such property for the <br />benefit of a party’s creditors; <br /> <br />4.5 if a party becomes unable to pay its debts generally as they become due; or <br /> <br />4.6 a material breach by a party of any material provision of this Agreement and such breach <br />continues for a period of fifteen (15) days after written notice to the other party to correct the breach or in <br />the case where a such material breach cannot with reasonable diligence be corrected within such 15-day <br />period, the breaching party shall have a reasonable time, not to exceed sixty (60) days, to correct such <br />breach provided that the breaching party begins diligent efforts to correct such breach within such 15-day <br />period and continues such diligent efforts until the breach is cured. <br /> <br />5. Price and Payment <br /> <br />5.1.1 The Customer shall pay MCA a Maintenance Agreement fee of $____ covering the Equipment <br />installed in the areas identified in Section 2 of this Agreement, as set forth in Exhibit “A” hereto, as <br />amended from time to time. The Maintenance Agreement Fee shall be payable in (1) payment at time of <br />Effective Date. <br />5.1.2 With respect to (i) service to the Equipment which MCA provides in response to a request by the <br />Customer for service and which MCA is not otherwise obligated to provide under this Agreement; or (ii) <br />corrections for difficulties or defects traceable to the Customer’s failure to comply with Sections 3 or 4 of <br />this Agreement, the Customer shall pay MCA for all efforts toward such services, corrections or remedies <br />at MCA’s then current standard time and materials charges. <br />5.1.3 With respect to any service or repairs which are excluded from this Agreement and which are <br />required for the Equipment to be in proper working order, MCA shall submit a description of the work <br />which is necessary to restore the System to proper working order and the charges therefore, and will <br />request permission to restore the Equipment to proper working order. If MCA is not granted the <br />permission to perform such restoration at the Customer’s expense, MCA shall have the right to terminate <br />all of its obligations under this Agreement with respect to such damaged Equipment. <br /> <br />6. Invoices <br /> <br />6.1 MCA shall submit written invoices for all services rendered under this Agreement. The <br />Customer shall pay all such invoices net thirty (30) days of receipt of such invoice. Timely payment of <br />such invoices is a material term of this Agreement. Invoices shall be sent to Accounts Payable E-Mail <br />Address or by mail to Customer’s address above. <br />6.2 In addition to the payment(s) required in Section 6.1 of this Agreement, MCA may invoice the <br />Customer for (i) all sales, use, transfer or other taxes levied upon MCA by any governmental authority by <br />reasons of its performance of this Agreement, excluding taxes on net income; and (ii) all parts and <br />materials procured by MCA necessary to perform its obligations under this Agreement, which are not <br />already covered by the agreement. <br />6.3 Notwithstanding the foregoing, MCA shall perform at its own cost (i) all Emergency <br />Maintenance directly attributable to MCA’s failure to perform Annual Maintenance as set forth in Section <br />2.1 of this Agreement and/or (ii) repeat maintenance performed within sixty (60) days of a preceding <br />maintenance call directly attributable to MCA’s failure to properly perform any maintenance obligation <br />Docusign Envelope ID: E2A04EAA-C6A8-4D8C-A3D2-7BFA20FBDAF0
