Revised 04/23 <br />1 <br /> [Departmental Use Only] <br /> TITLE Detention-Smoke Purg <br /> FY 2025-2026 <br />NORTH CAROLINA <br /> SERVICES AGREEMENT NO RFP/RFQ <br /> <br />ORANGE COUNTY <br /> <br /> This Services Agreement (hereinafter “Agreement”), made and entered into this 29th day of <br />July, 2025, (“Effective Date”) by and between Orange County, North Carolina a political <br />subdivision of the State of North Carolina (hereinafter, the "County") and Siemens Industry, Inc, <br />(hereinafter, the "Provider"). <br /> <br />WITNESSETH: <br /> <br /> That the County and Provider, for the consideration herein named, do hereby agree as <br />follows: <br /> <br />1. Services <br /> <br />a. Scope of Work. <br /> <br />i) This Agreement is for services to be rendered by Provider to County with respect <br />to (insert type of project): .Siemens is pleased to present this customized Technical <br />Support Program (TSP) for Orange County’s North Campus Detention Center. The <br />program herein incorporates services to support the Life Safety Systems on site. The <br />equipment and systems onsite are dynamic in nature and require consistent, reliable <br />monitoring and maintenance in order to maintain their integrity and protect the <br />initial investment. Proper support directly impacts your operations. This program <br />will allow Orange County to utilize Siemens expertise to compliment your staff for <br />the total support of your facility. A general outline of the total service program is <br />listed below and detailed in this document.  Life Safety System Services o <br />Performance & Verification Testing – Smoke Evacuation o Semi-Annual – Smoke <br />Evacuation System Equipment o Semi-Annual – Manual Check at Fireman’s Smoke <br />Control Panel o Semi-Annual – Exhaust Fans o Semi-Annual – Detailed Reports <br />Please see attached Proposal dated February 12,2025. <br /> <br />ii) By executing this Agreement, the Provider represents and agrees that Provider is <br />qualified to perform and fully capable of performing and providing the services <br />required or necessary under this Agreement in a fully competent, professional and <br />timely manner. <br /> <br />iii) Time is of the essence with respect to this Agreement. <br /> <br />iv) The services to be performed under this Agreement consist of Basic Services, as <br />described and designated in Section 3 hereof. Compensation to the Provider for <br />Basic Services under this Agreement shall be as set forth herein. <br /> <br />2.
