2 <br /> <br />project. Use and occupancy by Tenant of the Demised Premises shall include the use in <br />common with others of the common areas and facilities. Nothing herein contained <br />shall be construed as a grant or rental by Landlord to Tenant of the roof and exterior of <br />the building or buildings of which the Demised Premises form a part, or of the walks <br />and other common areas beyond the Demised Premises, or of the land upon which the <br />Demised Premises are located. <br /> <br />1.4. COMMENCEMENT OF TERM The term of this lease, and Tenant's obligation to <br />pay rent, shall commence on August 1, 2025. In the event that the term commences on <br />a day other than the first day of the month, then the term hereunder shall be deemed <br />to commence on the first day of the month next succeeding such date; provided, <br />however, that the Tenant shall pay rent for the fractional month on a per diem basis <br />(calculated on the basis of a thirty day month) until the first day of the month when the <br />term hereunder commences and thereafter the minimum rent shall be paid in equal <br />monthly installments on the first day of each and every month in advance. <br /> <br />1.5. LENGTH OF TERM The term of this lease shall be for one year <br />following the commencement of the term as provided in the preceding paragraph, and <br />ending July 31, 2026 (“Term”), unless terminated per the terms of this Lease. <br /> <br />1.5.1. Termination This lease may be terminated at any time following January 31, <br />2026 with 30 days written notice by either party. <br /> <br />1.6. EXCUSE OF LANDLORD'S PERFORMANCE Anything in this agreement to the <br />contrary notwithstanding, providing such cause is not due to the willful act or neglect <br />of the Landlord, the Landlord shall not be deemed in default with respect to the <br />performance of any of the terms, covenants and conditions of this lease if same shall be <br />due to any strike, lockout, civil commotion, war-like operation, invasion, rebellion, <br />hostilities, military, or usurped power, sabotage, governmental regulations or controls, <br />inability to obtain any material, service or financing, through Act of God or other cause <br />beyond the control of the Landlord. <br /> <br />2. RENT <br />2.1. BASE RENT The Tenant hereby agrees to pay the Landlord without <br />demand at its office, or at such other place or places as Landlord may from time to time <br />designate in writing, the following rents for the aforesaid leased premises, for the term <br />of this lease, to wit: <br /> <br />2.1.1. Annual Rent: The fixed minimum annual rent during the term of this lease shall <br />be $1.00. <br /> <br />2.1.2.
