1 <br /> <br />NORTH CAROLINA : <br />LEASE AGREEMENT <br />ORANGE COUNTY : <br /> <br /> THIS LEASE, made effective as of the 30th day of July, 2025, by and between Chapel Hill <br />Foundation Real Estate Holdings, Inc., a North Carolina non-profit corporation, hereinafter <br />referred to as the "Landlord" which term shall include the Landlord’s successors and assigns <br />wherever the context so requires or admits, and County of Orange, North Carolina hereinafter <br />referred to as the “Tenant” which term shall include the Tenant’s successors or assigns <br />wherever the context so requires or admits. <br /> <br />W I T N E S S E T H: <br />1. GRANT AND TERM <br />1.1. PREMISES LEASED That for and in consideration of the sum of <br />Ten Dollars ($10.00) and other valuable consideration each to the other in hand paid, <br />and in consideration of the payment from time to time of the rents hereinafter <br />stipulated and for and in consideration of the performance by the Tenant of the <br />covenants hereinafter contained by the Tenant to be kept and performed, the Landlord <br />has leased, let and demised and by these presents does lease, let and demise unto the <br />Tenant, and the Tenant accepts from the Landlord, those certain premises located at <br />128 East Franklin Street in the City of Chapel Hill, County of Orange and State of North <br />Carolina, which premises consist of a space, containing an area of approximately 1890 <br />square feet, herein called the "leased premises" or "demised premises", shown as <br />Chapel Hill Downtown Partnership on the sketch of premises attached hereto as Exhibit <br />A. <br /> <br />1.2. USE OF COMMON AREAS The use and occupation by the <br />Tenant of the leased premises shall include the use in common with others entitled <br />thereto of the common areas, service roads, loading facilities, sidewalks and other <br />facilities as may be designated from time to time by the Landlord, subject, however, to <br />the terms and conditions of this agreement and to reasonable rules and regulations for <br />the use thereof as prescribed from time to time by the Landlord. <br /> <br />1.3. GENERAL LAYOUT The Demised Premises are shown on Exhibit A <br />attached hereto and are part of the entire project. Said Exhibit sets forth a general <br />layout and shall not be deemed to be a warranty or agreement on the part of Landlord <br />that said project will remain exactly as indicated on said diagram.
