Revised 01/24 <br />ADDENDUM <br />NORTH CAROLINA <br />THIS CONTRACT ADDENDUM (“Addendum”) is made and entered into this 1st day of July, 2025 by and between <br />ORANGE COUNTY (hereinafter referred to as “Customer”) and Cvent, Inc. (hereinafter referred to as “Cvent”). <br />WITNESSETH: <br />THAT WHEREAS, the Customer and Cvent entered into a contract dated 07/01/2025, (hereinafter the “Agreement”), for <br />the provision of services for destination marketing platform; and <br />WHEREAS, the Customer and Cvent desire to modify the Agreement through this Addendum while keeping in effect all <br />terms and conditions of the Agreement not inconsistent with the terms and conditions set forth below. <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree as <br />follows: <br />1.Third Party Beneficiaries A new Section 13.18 reads: There are no third-party beneficiaries of this <br />Agreement and nothing in this Agreement, express or implied, is intended to confer on any person <br />other than the parties hereto (and their respective successors, heirs and permitted assigns), any <br />rights, remedies, or obligations. <br />Indemnity Section 10.1 is revised to read: To the extent authorized by North Carolina law Customer will: <br />(a)defend Cvent against any claim or lawsuit by a third party (a “Claim”) against Cvent to the <br />extent the Claim arises out of or results from (i) Customer Data except if due to a breach of the <br />Agreement by Cvent, (ii) Customer’s breach of Section 5 or (iii) Customer’s breach of Section <br />14.2; and (b) pay any damages awarded against Cvent for the Claim or any amounts agreed by <br />Customer and the claimant for the settlement of the Claim. <br />2.Entire Agreement and Signatures A new Section 13.18 reads: The Parties have read this Addendum to the <br />Agreement and agree to be bound by all of its terms unless and until modified in writing and signed <br />by the Parties. Modifications may be evidenced by telefacsimile signature. The Agreement together <br />with any amendments or modifications may be executed electronically. All electronic signatures <br />affixed hereto evidence the consent of the Parties to utilize electronic signatures and the intent of <br />the parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter <br />66. <br />3.Governing Law Section 13.9 is revised to read: The Agreement is governed by the laws of the State of <br />North Carolina without giving effect to its conflict of law provisions. The Parties hereby submit to <br />the exclusive jurisdiction of the state or federal courts located in Orange County, North Carolina or <br />the United States District Court for the Middle District of North Carolina for any lawsuit, action or <br />proceeding arising out of or related to the Agreement. For purposes of establishing jurisdiction in <br />North Carolina under the Agreement, each Party hereby irrevocably and unconditionally waives, <br />to the fullest extent permitted by applicable law, any claim that: (i) it is not personally subject to <br />the jurisdiction of the court; (ii) it is immune from any legal process with respect to it or its property; <br />and (iii) any suit, action or proceeding is brought in an <br />inconvenient forum. The Uniform Computer Information Transactions Act does not apply to the <br />Agreement or orders placed under it. <br />4.Waiver of Jury Trial Section 13.10 is revised to read: Neither party may initiate binding arbitration. Should <br />either party initiate litigation to settle any dispute involving the terms of the Agreement such <br />litigation shall be initiated in the General Court of Justice of North Carolina seated in Orange <br />County, North Carolina. Each Party irrevocably and unconditionally waives, to the fullest extent <br />permitted by applicable law, any right it may have to a trial by jury and any such litigation shall be <br />tried by the presiding judge. <br />Docusign Envelope ID: 6A684DF1-FB78-4C74-92A8-1B8FE29FD949
