2025 Uproar Festival of Public Art Site Agreement <br />This agreement is between __________________________________ (“Host”) and Orange County, NC a political subdivision of <br />the State of North Carolina (hereinafter “County” ). <br />As a willing Host during Uproar Festival of Public Art (“Uproar”) taking place in Orange County, North Carolina, August 1 - August <br />23, 2025, the Host agrees to the following terms: <br />1. The Host will not disclose the artwork being placed at the site until the festival has begun. All Uproar works need to remain a <br />surprise in order for the public to visit the festival. The Host recognizes that the details regarding specific artists and artwork <br />outlined below are subject to change pending Uproar’s receipt of artist agreements and artwork. <br />2. Provide a safe environment for the art assigned to the site, ensuring it remains visible and unobstructed during the festival, <br />and discouraging any tampering by the public. Host will allow for the installation of the art which may include anchoring <br />work to concrete, or hanging work from an outside wall of a structure. <br />3. If the artwork needs attention, the Host will contact the OCAC office as soon as possible at 919-245-2335. <br />4. The Host will make sure Uproar voting and audio description signage stays on site with the art during the entire festival. <br />5. The Host acknowledges that there are inherent health and safety risks related to visiting any spaces where other people are <br />present. The Host confirms management of the site and are therefore responsible for mitigating any potential risks to the <br />extent such risks can be managed. <br />6. Accessibility is a priority of Uproar and all art will be displayed in fully accessible, outdoor locations. The area of the site <br />displaying artwork must be unobstructed for those in wheelchairs or with mobility or vision challenges. <br />7. The area of the site displaying artwork must be accessible and visible to the public for voting during daylight hours during <br />the festival dates of Friday, August 1 through Saturday, August 23. <br />8. Host may not charge an admission fee to the public to view the entries during the festival. <br />9. To the extent allowed by law, both parties agree to indemnify and hold harmless the other party and its officers, agents and <br />employees from and against any and all loss, liability, claims or expense (including reasonable attorneys’ fees) arising from <br />or relating to the 2025 Uproar Festival of Public Art to the extent such losses are caused by the indemnifying party's <br />negligence or willful misconduct. This indemnification does not apply to the extent that such losses are caused by the <br />negligence or misconduct of the party seeking indemnification. <br />10. The site verifies insurance coverage through a current and active General Liability insurance policy. <br />11. County reserves the right to use imagery and documentation of the site, the art, and the process of installing the art. Uses <br />may include, but are not limited to, the official Uproar website, press releases, promotional materials prepared by County or <br />County affiliates and partners including display and exhibition materials, maps, guides, installations, and social media. <br />12. As an Uproar Host Site, I agree to the terms of this agreement. I understand County may prohibit a site from participating at <br />its sole discretion.
