55 <br /> facility and developing a document containing standard operating procedures, emergency <br /> protocols, guidelines for shared spaces, and any other items related to the daily operations <br /> of the facility, which will hereafter be known as the Drakeford Policies and Procedures <br /> Manual. <br /> 2.) The Executive Committee will approve the Drakeford Policies and Procedures Manual. <br /> The Town and County agree to follow the established operational guidelines detailed in <br /> the Drakeford Policies and Procedures Manual for the joint operation of the facility. The <br /> Drakeford Policies and Procedures Manual will be reviewed and updated periodically to <br /> maintain efficiency and compliance with applicable regulations. In the event changes are <br /> needed, the Drakeford Facility Operations Committee will work together to make <br /> changes and seek approval from the Executive Committee. In the event there is a <br /> disagreement on the changes or conditions of the guidelines, the Executive Committee <br /> will meet to discuss and determine the changes. <br /> 3.) County shall have unlimited access to that portion of the building shown on those sections <br /> marked on Exhibit 1 denoted as "County." <br /> 4.) Town of Carrboro shall have unlimited access to that portion of the building shown on <br /> those sections marked on Exhibit 1 denoted as "Town of Carrboro." <br /> 5.) Both County and Town of Carrboro shall have unlimited joint access to that portion <br /> known as the "Common Area"marked on Exhibit 1. <br /> 6.) The County and Carrboro agree to include a Room and Space Sharing Agreement in the <br /> Drakeford Policies and Procedures Manual that will be mutually beneficial to both <br /> parties. <br /> 7.) Utilities for the entire building, including the two Units and Common Area or Common <br /> Elements will operate on one service meter for each separate utility serving the entire <br /> building. The County will be responsible for paying all single meter utilities for the <br /> building, including the Units and Common Area or Common Elements and then seek <br /> reimbursement at the agreed upon split, 53.6% for the County and 46.4% for the Town. <br /> 8.) The County shall be responsible for providing Custodial services to the facility, including <br /> Units and Common Areas or Common Elements <br /> 9.) The Town shall be responsible for providing security services for the facility. <br /> 10.) The Town shall be responsible for the maintenance, repair and for contractually <br /> engaging all public Wi-Fi in Common Area or Common Element spaces and will be <br /> reimbursed by the County as set forth in Section IV, 7 below. The Town and County <br /> shall each be responsible for the repair and maintenance of all IT systems in its <br /> designated Unit space. <br /> 11.) Maintenance: The Town will be responsible for all maintenance of the Common Areas <br /> or Common Elements and all building-wide systems that service Town and County <br /> space, including but not limited to the parking garage, HVAC, Fire alarm, badge readers, <br /> cameras,plumbing, landscaping, remedial work, repairs or warranty work. The Town <br /> shall have sole control and discretion in the work to be performed and costs of the same. <br /> Notwithstanding in the event a single expense estimated to be in excess of five thousand <br /> dollars ($5000.00), the parties will communicate with each other and agree to the expense <br /> prior to engaging the vendor unless it is an emergency requiring immediate action for <br /> maintenance or repair. <br /> 12.) Maintenance and repair of the portion of the building designated to be a Unit for the <br /> separate use of the Town or County, shall be borne by the party designated to use the <br />
