1 <br /> ORANGE COUNTY <br /> BOARD OF COMMISSIONERS <br /> ACTION AGENDA ITEM ABSTRACT <br /> Meeting Date: June 3, 2025 <br /> Action Agenda <br /> Item No. 8-p <br /> SUBJECT: Approval of Sportsplex Management Services Agreement <br /> DEPARTMENT: County Manager's Office <br /> ATTACHMENT(S): INFORMATION CONTACT: <br /> Draft Management Services Agreement Travis Myren, 919-245-2308 <br /> John Roberts, 919-245-2318 <br /> PURPOSE: To approve a Management Services Agreement between Orange County and <br /> Recreation Factory Partners to operate the Orange County Sportsplex. <br /> BACKGROUND: On December 5, 2005, Orange County entered into an operational agreement <br /> and contract with Recreation Factory Partners ( RFP) for the operation and management of the <br /> Orange County Sportsplex. This agreement was extended for a five year period in June 2007. On <br /> June 19, 2012, the agreement was renewed by the County and RFP effective July 1, 2013 for a <br /> five year period, with a conditional automatic renewal for an additional five years (which was <br /> exercised). The contract was subsequently extended in June of 2023 for a two-year term ending <br /> on June 20, 2025. <br /> Earlier this year, the County issued a Request for Proposal to solicit proposals from vendors to <br /> operate the Orange County Sportsplex. Three (3) vendors responded to the solicitation. A <br /> selection committee comprised of the County Manager, County Attorney, Director of the <br /> Department of Environment, Agriculture, Parks and Recreation, and the Recreation Division <br /> Manager reviewed the proposals and selected two vendors for in-person interviews. Although <br /> both vendors had extensive experience, Recreation Factory Partners was the only vendor with <br /> experience operating a multipurpose facility. <br /> The County has negotiated a new Management Services Agreement with Recreation Factory <br /> Partners (attached) which includes the following key provisions: <br /> • The agreement would be in effect for five years, expiring June 30, 2030. <br /> • As an enterprise fund, the facility will generate sufficient operating revenue to cover <br /> operating costs, including debt service. <br /> • The facility will be operated in a manner that promotes the guiding principles, strategic <br /> priorities, and objectives contained in the Owner's Strategic Plan. <br /> • The operator is obligated to follow the County's Non-Discrimination Policy and Living Wage <br /> policies. <br />
