Revised 01/24 <br />3 <br /> <br />a. Basic Services. The Services to be rendered pursuant to this Agreement are as follows <br />(fully describe services to be provided): The Provider shall cause the Event to occur at <br />Kenan Stadium, 104 Stadium Dr., Chapel Hill, NC 27514 (“Kenan Stadium”). If the <br />Event occurs, the Event shall consist of one (1) match (“Event Match”). The Event <br />Match will be played on June 10, 2025 (“Event Date”) at Kenan Stadium, unless <br />otherwise determined by The Provider in its sole discretion. The Event Match shall <br />feature the Mexico men’s national soccer team and another men’s national soccer team <br />(“Event Match Teams”) to be determined by The Provider. Visit Chapel Hill shall be <br />entitled to one (1) suite for the Event Match, with the location of the suite subject to The <br />Provider’s sole and absolute discretion. Visit Chapel Hill will provide The Provider with <br />in-kind marketing and promotion support through mutually agreed upon media plans. <br />Subject to The Provider’s prior approval in each case, such support will include, but not <br />be limited to, local and regional marketing campaigns, public relations, social media <br />posts, and Visit Chapel Hill partner communications. The Provider will make <br />commercially reasonable efforts to source hotel opportunities through Visit Chapel Hill <br />for Event Match teams, sponsors, media, broadcast and production staff. The Provider <br />will make commercially reasonable efforts to allow Visit Chapel Hill to activate at <br />ancillary events hosted by The Provider, such as an interactive fan zone on the Event <br />Date.In the event the Event Match is cancelled and not rescheduled or relocated from <br />Chapel Hill, North Carolina, The Provider will no longer be entitled to the Host Fee and <br />shall reimburse Visit Chapel Hill for any Host Fee paid to the Provider. <br /> <br />4. Duration of Services <br /> <br />a. Term. The term of this Agreement shall be from 02/28/2025 to 06/10/2025. <br /> <br />b. Scheduling of Services. <br />i) The Provider shall schedule and perform its activities in a timely manner. <br /> <br />ii) Should the County determine that the Provider is behind schedule, it may require <br />the Provider to expedite and accelerate its efforts, including providing additional <br />resources and working overtime, as necessary, to perform its services in <br />accordance with the approved project schedule at no additional cost to the <br />County. <br /> <br />iii) The Commencement Date for the Provider's Basic Services shall be 02/28/2025. <br /> <br />5. Compensation <br /> <br />a. Compensation for Basic Services. Compensation for Basic Services shall include all <br />compensation due the Provider from the County for all services satisfactorily (as <br />determined by the County) performed pursuant to this Agreement. The maximum <br />amount payable for Basic Services shall not exceed Ten Thousand and 00/100 Dollars <br />($10,000.00). Payment for satisfactorily performed Basic Services shall become due and <br />payable within thirty (30) days of Provider properly invoicing County.
