DocuSign Envelope ID: CB58AB3D-3315-4F6C-BDB9-EDC7F23C34D7 <br /> 4 <br /> [Departmental Use Only] <br /> TITLE ESRI <br /> FY 2023-204 <br /> NORTH CAROLINA <br /> SERVICES AGREEMENT NO RFP/RFQ <br /> ORANGE COUNTY <br /> This Agreement (hereinafter "Agreement"), made and entered into this 29th day of August, <br /> 2023, ("Effective Date") by and between Orange County, North Carolina a political subdivision <br /> of the State of North Carolina (hereinafter, the "County") and Environmental Systems Research <br /> Institute, Inc. (ESRI) having offices at 380 New York Street, Redlands, CA 92373-8100, <br /> (hereinafter, the "Provider"). <br /> WITNESSETH: <br /> That the County and Provider, for the consideration herein named, do hereby agree as <br /> follows: <br /> 1. Commercial off-the-shelf(COTS) Software and Maintenance <br /> a. This Agreement is for commercial off-the-shelf(COTS) software subscriptions and <br /> maintenance ("Software and Maintenance") as further described and designated in the <br /> attached Exhibit 1 Esri Renewal Quotation# 26128476 dated 07/31/2023 (the "Quote") to <br /> be rendered by Provider to County. <br /> b. By executing this Agreement, the Provider confirms and agrees that Provider is qualified <br /> to provide the Software and Maintenance described and designated in the Quote in a fully <br /> competent, professional and timely manner. <br /> 2. Responsibilities of the Provider <br /> a. Software and Maintenance to be provided. The Provider shall provide the County with <br /> all Software and Maintenance described and designated in the Quote. <br /> b. Maintenance provided herein consists of technical support, new version software, self- <br /> paced e-learning access, hot fixes, patches, software updates, beta programs, and/or Esri <br /> International User Conference registration, as more specifically described on the Esri <br /> Maintenance and Support Program web page located at <br /> http://www.esri.com/—/media/Files/Pdfs/legal/pdfs/standard-maintenance.pdf. Products <br /> that are eligible for maintenance can be found at <br /> http://www.esri.com/software/maintenanceibenefits ("Qualifying Products"). <br /> Maintenance and Software are provided subject to the terms and conditions of the master <br /> agreement found at http://www.esri.com/legal/software-license, which is incorporated by <br /> reference, and this Agreement. <br /> c. Standard of Care. <br /> i) Provider will provide Maintenance as described on the Esri Maintenance and Support <br /> Revised 04/23 <br /> 1 <br />
