DocuSign Envelope ID: BC068335-AEB5-4583-B638-D7EDD3D550C4 <br /> 38 <br /> ORANGE COUNTY <br /> AMENDMENT TO LEASE AGREEMENT <br /> NORTH CAROLINA <br /> THIS AMENDMENT, made and entered into this the 15 day of July, 2020, by and between the Eno River Mill, <br /> LLC,a North Carolina Limited Liability Company("Landlord"),and County of Orange,a body politic and corporate <br /> of the State of North Carolina("Tenant"); <br /> WITNESSETH: <br /> WHEREAS,the Landlord and Tenant entered into a Services Agreement dated,Febuary 7, 2020,to provide services <br /> to be rendered by Landlord to Tenant("Original Agreement"); and <br /> WHEREAS,the Landlord and Tenant desire to amend the Original Agreement,while keeping in effect all terms and <br /> conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties <br /> agree to amend the Original Agreement as follows: <br /> Amend the following Section 1, subsections c,h,j, m and Exhibit A to add: <br /> (c) Demised Premises: "Approximately 2,000 rentable square feet depicted on Exhibit A and to be known as <br /> Suite 29 and located on the ground floor of the Building, together with a nonexclusive right to the use the <br /> Common Areas in accordance with the terms of this Lease." <br /> (h) Term: Option to Renegotiate or Terminate Suite 29. After the first lease year for the Demise Premise, Suite <br /> 29, either Party may terminate or renegotiate the terms of the lease agreement upon sixty(60)days advance <br /> written notice. <br /> (j) Rent Commencement Date: ", or(iii)the Rent Commencement Date for Suite 29 is the Execution Date of <br /> this Amendment to the Lease Agreement." <br /> (m)Minimum Rent: "The Minimum Rent payable for Suite 29 during the Term of the Lease, commencing on <br /> the Rent Commencement Date, is the lessor of Ninety (90) percent of the rent collected from Suite 29 by <br /> Tenant or Three Thousand dollars($3,000)per quarter,payable 30 days after the end of each quarter." <br /> 28. Signatures. This Agreement together with any amendments or modifications may be executed electronically. <br /> All electronic signatures affixed hereto evidence the consent of the Parties to utilize electronic signatures and <br /> the intent of the Parties to comply with Article 11 A and Article 40 of North Carolina General Statute Chapter <br /> 66. <br /> Exhibit A. Description of Demise Premise, Suite 29 <br /> Except for the changes made Section 1, subsections: c,h,j and in and Exhibit A herein,the Original Agreement shall <br /> remain in full force and effect to the extent it is not inconsistent with this Amendment.
