5 <br /> (u) Fit-Up Allowance: Landlord will complete a turn-key fit-up consistent with Exhibit F, <br /> entitled Landlord Work. Tenant will contribute $2,000.00 toward the fit-up payable on the Rent <br /> Commencement Date as additional rent. The remaining fit-up shall be at Landlord's sole expense. <br /> (v) Exhibits: The exhibits listed below are incorporated into and form a part of this Lease: <br /> Exhibit A: Description of Demised Premises <br /> Exhibit A-1: Description of Building <br /> Exhibit B: Description of Land <br /> Exhibit C: Rules and Regulations <br /> Exhibit D: Additional Rent-Operating Expenses-Pass Throughs <br /> Exhibit E: Environmental Compliance <br /> Exhibit F: Landlord Work <br /> Exhibit G: Memorandum of Acceptance of Demised Premises <br /> Exhibit H: Option to Extend Term <br /> Exhibit I: Memorandum of Lease <br /> 2. Demised Premises. In consideration of the payment of the Rent and the performance of the <br /> terms by Tenant contained in this Lease, Landlord hereby leases to Tenant, and Tenant leases from the <br /> Landlord,the Demised Premises, shall be delivered on the Rent Commencement Date with the Landlord's <br /> work substantially complete. By execution of this Lease, Landlord and Tenant expressly acknowledge <br /> the accuracy and correctness of the measurement of the rentable square footage of the Demised Premises <br /> set forth above and further agree to be bound by same. <br /> 3. Term. The term of this Lease shall be the Term; provided, however, that Landlord shall deliver <br /> possession of the Demised Premises to Tenant on the Rent Commencement Date which Landlord <br /> anticipates will be March 15, 2020. The actual Rent Commencement Date and the Expiration Date shall <br /> be confirmed by Landlord and Tenant by execution of the Memorandum Of Acceptance of the Demised <br /> Premises, the form of which is attached hereto as Exhibit G, which shall be executed by Landlord and <br /> Tenant within 10 days of request therefor by Landlord and which constitutes an amendment of the Lease. <br /> If Landlord, for any reason whatsoever, cannot deliver possession of the Demised Premises to <br /> Tenant on Effective Date, this Lease shall not be void or voidable, no obligation of Tenant shall be <br /> affected thereby, and neither Landlord nor Landlord's agents shall be liable to Tenant for any loss or <br /> damage resulting therefrom; provided, however,that in such event,the actual Rent Commencement Date, <br /> the Expiration Date, and all other dates affected thereby, shall be revised to conform to the date of <br /> delivery of the Demised Premises. <br /> 4. Use. Tenant shall use the Demised Premises for the Permitted Use, but for none other, provided <br /> further, that in no event shall Tenant make use of the Demised Premises which is in violation of any <br /> governmental laws, rules or regulations whether now existing or hereafter enacted insofar as they might <br /> relate to Tenant's use and occupancy of the Demised Premises, nor may Tenant make any use of the <br /> Demised Premises not permitted by any restrictive covenants which apply to the Demised Premises, or <br /> which is or might constitute a nuisance or trespass, or which increases the fire or hazard insurance <br /> premiums(or makes such insurance unavailable to Landlord) on the Building. In the event of an increase <br /> in Landlord's fire or hazard insurance premiums which results from Tenant's use or occupancy of the <br /> Demised Premises, Tenant shall pay Landlord, on demand,the amount of such increase. <br /> 5. Rent. All Rent (as hereinafter defined) payable by Tenant shall be without previous demand or <br /> notice therefor by Landlord, and without set off or deduction.
